Provides legal support to assist system-entities and ensures quality work product in compliance with legal requirements, best practices and internal policies and procedures. Maintains familiarity with and researches applicable laws and regulations pertaining to federal and state regulatory requirements for health care providers. - Drafts, reviews and manages various types of legal documents (e.g. contracts, organizational documents, policies and procedures, letters of intent, memoranda of understanding, service agreements, employment agreements, education agreements, settlement agreements, separation agreements, leases, timeshares, use agreements, subleases, closing documents, confidentiality agreements, charters, bylaws, minutes and resolutions, certificates, corporate filings, pleadings, affidavits, subpoenas responses, discovery requests, etc.). - Ensures contract terms align with Legal Department and system policies, and that appropriate approvals are in place prior to execution. - Assists with regulatory and legal analyses, including compliance with relevant laws and related regulations. - May perform legal research, including review of statutes, regulations, accreditation standards, online databases, case law, legal articles and other documents. - Participates and assists in the handling of legal matters, including transactions, investigations/litigation, due diligence, information gathering/discovery, document production requests for governmental or administrative investigations, document preservation notices, and other related responsibilities and assignments as requested by attorneys in the department. - Maintains a variety of legal documents, records and databases, including contracts, corporate records, reports and pleadings, litigation matter management reports and other reports. - Prepares and monitors document preservation notices and assists with litigation matters, as applicable. - Evaluates and responds to requests for contracts, and coordinates signatures on contracts and other legal documents as needed. - Communicates with outside counsel and others on behalf of attorneys. - Serves as an initial point of contact for other departments in numerous areas, including patient care, employment, subpoena and release of information, medical research and healthcare marketing. - Performs various other assignments as may be requested by attorneys in the department. - Assists with projects as needed by other Paralegals. Qualifications - Associate’s degree in legal field; Bachelor's preferred. - Typically requires 3 years of related experience as a paralegal. Role Description The Contracts and Corporate Paralegal manages the lifecycle of the contracts while minimizing organizational risk. Serving as an intermediary between Legal and Business teams, this role is responsible for negotiating contract terms. This role also assists with handling corporate law matters, ensuring compliance, and supporting business transactions, working under the supervision of licensed attorneys in areas such as corporate governance and regulatory compliance. Contract Management Process Ownership: - First-line reviewer for revenue-generating contracts across all business lines, ensuring rapid processing and the procurement of all required approvals prior to execution. - Backup/secondary reviewer for vendor contracts, ensuring rapid processing and the procurement of all required approvals prior to execution. Drafting & Negotiation: - Serve as the initial reviewer by providing substantive redlines and edits. - Negotiate preferred terms under attorney supervision. - Draft/edit/update contract templates that align with business objectives. Risk Analysis: - Evaluate legal and financial risks within contracts. - Serve as a point of contact for internal and external stakeholders during negotiations. Document Compliance & Archiving: - Manage the formal signature process. - Ensure all executed documents are properly warehoused, tagged, and diagnosed according to Legal Department guidelines. Corporate Paralegal Legal Research & Preparation: - Conduct legal research and gather information. - Communicate effectively with offices of the government. - Prepare materials for attorneys and board meetings. Document Drafting & Review: - Draft and revise contracts, applications, agreements, bylaws, minutes, consents, and corporate resolutions. Corporate Transactions: - Assist in forming, registering, maintaining, and dissolving legal entities. - Prepare filings with state and federal agencies. Regulatory & Statutory Compliance: - Track filing deadlines and ensure proper filing of state documents. - Interact with Secretaries of State and Departments of Insurance. Record Management: - Maintain corporate files, checklists, and deliverable trackers. - Organize electronic and paper records. Litigation & Compliance Support: - Assist in litigation, mediation, arbitration, and compliance programs as requested. Coordination: - Collaborate with attorneys, finance teams, and other departments to manage corporate projects, audits, and transactions. Qualifications - Bachelor’s degree. - 4 years’ contracts and/or corporate legal experience. - Extremely proficient with technology. - Able to proactively recognize potential risks and escalate appropriately. - Capable of thriving in a fast-paced, multi-project work environment.
