Role Description We are seeking an experienced and highly organized Paralegal Analyst to join our in-house legal department with a focus on corporate governance, corporate secretarial, and regulatory matters. This role plays a great part in supporting governance and regulatory processes throughout the company. The ideal candidate is detailed, proactive, and comfortable working in multiple legal fields. If you're looking for a role where you can make a significant impact, this is the opportunity for you! - Assist the corporate secretarial team for Principal subsidiaries by managing corporate records and minute books. - Monitor director and officer appointments, document entity formations and dissolutions, prepare routine filings, and address inquiries related to Principal subsidiaries. - Participate in subsidiary board of director and committee meetings, and prepare, coordinate, and distribute meeting materials, including agendas, resolutions, minutes, and consent actions. - Act as a liaison between legal, internal business partners, and external service providers regarding board and committee meetings, governance activities, and filings. - Prepare and revise corporate resolutions, written consents, secretary’s certificates, incumbency certificates, related governance documents, and intercompany agreements. - Complete, file, and submit regulatory forms and filings required for Principal subsidiaries. - Manage complex projects with a high degree of independence and initiative, including conducting complex legal research, drafting legal and/or regulatory memoranda, and assisting with process improvements. - Provide paralegal support to lawyers across the corporate legal team on matters relating to corporate transactions, securities-related matters, privacy and data security, tax, and human resources. Qualifications - Bachelor's degree or equivalent experience plus a minimum of 6 years of related legal and/or corporate/regulatory experience. - Significant and demonstrated expertise in corporate secretarial matters, with a strong understanding of corporate governance principles, board processes, and entity management. - Experience in supporting various corporate legal activities (e.g., business transactions, securities, tax, privacy, data security, and/or human resources) are preferred. - Strong attention to detail along with the capability to manage several projects and deadlines at the same time. - Excellent written and verbal communication skills, with the ability to interact professionally with senior leaders, directors, other internal partners, and third-parties. - Demonstrated experience in legal research. - Proficient with Microsoft Office, Copilot, Excel, and document management systems as well as legal tools, resources, and databases such as Westlaw CoCounsel. - Familiarity with state insurance regulatory filings is preferred. Salary Range Information Salary ranges below reflect targeted base salaries. Non-sales positions have the opportunity to participate in a bonus program. Sales positions are eligible for sales incentives, and in some instances a bonus plan, whereby total compensation may far exceed base salary depending on individual performance. Actual compensation for all roles will be based upon geographic location, work experience, education, licensure requirements and/or skill level and will be finalized at the time of offer. - Salary Range (Non-Exempt expressed as hourly; Exempt expressed as yearly): $26.83 - $48.46 / hour - Wichita, KS: $26.83 - $36.35 / hour - Des Moines, IA: $28.32 - $38.37 / hour - Charlotte, NC: $29.81 - $40.38 / hour - Chicago/Minneapolis: $32.79 - $44.42 / hour - Los Angeles/New York City: $35.77 - $48.46 / hour Time Off Program - Personal Time Off (PTO) is provided to hourly (non-exempt) employees and provides a set amount of accrued time earned each pay period.
