Role Description The Contracts and Corporate Paralegal manages the lifecycle of the contracts while minimizing organizational risk. Serving as an intermediary between Legal and Business teams, this role is responsible for negotiating contract terms. This role also assists with handling corporate law matters, ensuring compliance, and supporting business transactions, working under the supervision of licensed attorneys in areas such as corporate governance and regulatory compliance. Contract Management Process Ownership: - First-line reviewer for revenue-generating contracts across all business lines, ensuring rapid processing and the procurement of all required approvals prior to execution. - Backup/secondary reviewer for vendor contracts, ensuring rapid processing and the procurement of all required approvals prior to execution. Drafting & Negotiation: - Serve as the initial reviewer by providing substantive redlines and edits. - Negotiate preferred terms under attorney supervision. - Draft/edit/update contract templates that align with business objectives. Risk Analysis: - Evaluate legal and financial risks within contracts. - Serve as a point of contact for internal and external stakeholders during negotiations. Document Compliance & Archiving: - Manage the formal signature process. - Ensure all executed documents are properly warehoused, tagged, and diagnosed according to Legal Department guidelines. Corporate Paralegal Legal Research & Preparation: - Conduct legal research and gather information. - Communicate effectively with offices of the government. - Prepare materials for attorneys and board meetings. Document Drafting & Review: - Draft and revise contracts, applications, agreements, bylaws, minutes, consents, and corporate resolutions. Corporate Transactions: - Assist in forming, registering, maintaining, and dissolving legal entities. - Prepare filings with state and federal agencies. Regulatory & Statutory Compliance: - Track filing deadlines and ensure proper filing of state documents. - Interact with Secretaries of State and Departments of Insurance. Record Management: - Maintain corporate files, checklists, and deliverable trackers. - Organize electronic and paper records. Litigation & Compliance Support: - Assist in litigation, mediation, arbitration, and compliance programs as requested. Coordination: - Collaborate with attorneys, finance teams, and other departments to manage corporate projects, audits, and transactions. Qualifications - Bachelor’s degree. - 4 years’ contracts and/or corporate legal experience. - Extremely proficient with technology. - Able to proactively recognize potential risks and escalate appropriately. - Capable of thriving in a fast-paced, multi-project work environment. Requirements - Must be able to remain in a stationary position (e.g., sitting or standing) for extended periods of time. - Frequent use of a computer, dual monitors, keyboard, mouse, and other standard office equipment such as a telephone, copier, and printer. - Must be able to communicate effectively, including exchanging information in person, in writing, by telephone, email or video conferencing. - Visual and auditory acuity required to perform job duties effectively, including reading, writing, and interpreting information on screens or in print. - Hand dexterity, fine motor skills needed to operate a keyboard and mouse efficiently. - Reach with hands and arms occasionally. - Superior organizational skills and attention to detail. - Exceptional turnaround time in communications and work product submissions. - Superior verbal, telephone and written communication skills. - Proficient in Microsoft Office products (MS Word, Power Point, Excel, Outlook and SharePoint).
