Corporate Paralegal

Paxos

Role Description We’re looking for a Paralegal to join our Legal team and help us scale a world-class, tech-forward legal function that matches the ambition and complexity of our products and partners. - Use cutting-edge AI tools to support a technology-forward legal team and streamline contracting, research, and operations. - Negotiate various commercial agreements, including non-disclosure agreements and vendor agreements, ensuring Paxos’s interests are protected while enabling the business to move quickly. - Manage legal entity formation and governance, and become an expert on Paxos’s international corporate structure (including maintaining corporate records, board and shareholder consents, and related governance documents). - Maintain and build out the company’s legal operations function, including improving templates, workflows, playbooks, and systems to increase efficiency and reduce risk. - Partner closely with cross-functional stakeholders (e.g., Finance, Compliance, Product, Operations, and Procurement) to support commercial, corporate, and operational initiatives. - Help drive process improvements across the legal team by identifying gaps, proposing solutions, and following through to implementation. Qualifications - 2+ years of law firm paralegal experience. - Experience working on corporate and transactional matters, including drafting and reviewing legal agreements and related documentation. - Experience working cross-functionally on multiple projects under tight deadlines, with strong organizational skills and attention to detail. - Desire to work in a fast-paced, dynamic, and demanding environment, with the ability to adapt as priorities and business needs evolve. - Excellent written and verbal communication and negotiation skills, with the ability to clearly explain legal concepts to non-legal stakeholders. - Experience using AI legal tools (e.g., for contract review, document automation, or legal research) and an interest in experimenting with new technology to improve legal workflows. Requirements - In-house paralegal experience, ideally supporting commercial or corporate work. - Experience working in a hyper-growth, tech-focused company, preferably in fintech, financial services, or another highly regulated industry. - Experience with international entity management and governance. - Familiarity with contract lifecycle management (CLM) tools or legal operations tooling.
