Role Description Reporting to the Deputy General Counsel, this role will be an integral part of the legal team that supports CareDx in a wide variety of transactions in the life sciences and in vitro diagnostic industry. This includes assisting with patent and technology licensing, collaborations, strategic alliances, clinical trial agreements, commercial sales agreements, supply agreements, software (including SaaS) licensing. - Partner with cross-functional leadership to develop contract templates and playbooks. - Work closely with cross-functional leadership to draft and negotiate a wide range of complex agreements including: - Patent and software license agreements - Collaboration agreements - Clinical trial agreements - Investigator-initiated study agreements - Research & development agreements - Sales agreements - Supply agreements - Vendor agreements - SaaS agreements - Service agreements - Distribution agreements - Quality agreements - Advise internal client groups and senior management on: - Contract interpretation - Dispute resolution - IP ownership - Other legal issues related to digital health and in vitro diagnostic products and services - Advise on corporate governance and security matters, including: - Corporate law - Preparation and review of SEC reporting and compliance - Corporate structuring - Subsidiary management - Officer and director appointments - State filings - Provide transactional and operational support for M&A activities and post-acquisition integration. - Advise and provide healthcare compliance and regulatory legal support, including: - Fraud waste & abuse - Anti-kickback - Stark law - FCPA - CLIA - NY state licensing - FDA - Pharmacy licensing - Work collaboratively with other attorneys and contract specialists on the drafting, negotiation, and execution of agreements. • Conduct online legal research on human rights and environmental abuses • Draft and update lawsuit profiles summarising legal information • Support the dissemination of CLA Quarterly Update newsletter • Participate in virtual meetings with staff and researchers • Assist in corporate legal accountability advocacy work

• Provide advice and counsel to a wide variety of business stakeholders, including Sales, Operations, and Client Services to ensure compliant retirement plan designs and strategies. • Produce quality, defensible contractual language that accurately reflects stakeholder’s intent. • Act as a proactive, strategic business partner by gaining and maintaining a thorough understanding of potential legislation and regulatory developments and regularly communicating updates to stakeholders. • Partner with stakeholders to gain insight into specific business requirements and formulate accurate, comprehensive advice that supports informed decision-making. • Act as a trusted partner by identifying potential risks and outcomes, demonstrating a holistic understanding of business goals and risks. • Consistently demonstrate understanding of and motivation to achieve business goals in a legally defensible manner.

• Assist the Chief of Litigation Services with coordinating and assigning litigation support tasks to paralegals and legal assistants while ensuring quality, timely completion of tasks. • Mentor, train, and provide substantive guidance to legal support staff, helping to strengthen litigation skills, procedural knowledge, and overall performance. • Manage and support all phases of litigation from an operational and procedural standpoint, including pleadings, motion practice, discovery, arbitration, trial preparation, and appellate procedures. • Support trial and hearing preparation by overseeing pretrial filings, managing trial transcripts, and compiling, organizing, and tracking trial exhibits. • Assist with drafting, reviewing, preparing, filing, and organizing pleadings, briefs, appeals, and other legal documents using Microsoft Word, CM/ECF, and related systems. • Conduct legal and factual research using Westlaw and other sources to support attorneys and litigation teams. • Perform detailed cite-checking and quality control of legal documents, including Bluebook compliance, Shepardizing authorities, and verifying the accuracy of quoted material and cited exhibits. • Organize and maintain case files, pleadings, expert materials, attorney notebooks, and related documents in both hard copy and electronic case-management systems. • Implement and maintain organizational systems for case calendars, filings, correspondence, and litigation materials using firm software and tools. • Communicate with courts, outside counsel, clients, experts, and vendors as needed in support of litigation activities. • Collaborate with attorneys and internal departments to develop efficient procedures and improve litigation support workflows. • Perform other duties as assigned.
