Senior Manager, Corporate Counsel

Role Description Reporting to the Deputy General Counsel, this role will be an integral part of the legal team that supports CareDx in a wide variety of transactions in the life sciences and in vitro diagnostic industry. This includes assisting with patent and technology licensing, collaborations, strategic alliances, clinical trial agreements, commercial sales agreements, supply agreements, software (including SaaS) licensing. - Partner with cross-functional leadership to develop contract templates and playbooks. - Work closely with cross-functional leadership to draft and negotiate a wide range of complex agreements including: - Patent and software license agreements - Collaboration agreements - Clinical trial agreements - Investigator-initiated study agreements - Research & development agreements - Sales agreements - Supply agreements - Vendor agreements - SaaS agreements - Service agreements - Distribution agreements - Quality agreements - Advise internal client groups and senior management on: - Contract interpretation - Dispute resolution - IP ownership - Other legal issues related to digital health and in vitro diagnostic products and services - Advise on corporate governance and security matters, including: - Corporate law - Preparation and review of SEC reporting and compliance - Corporate structuring - Subsidiary management - Officer and director appointments - State filings - Provide transactional and operational support for M&A activities and post-acquisition integration. - Advise and provide healthcare compliance and regulatory legal support, including: - Fraud waste & abuse - Anti-kickback - Stark law - FCPA - CLIA - NY state licensing - FDA - Pharmacy licensing - Work collaboratively with other attorneys and contract specialists on the drafting, negotiation, and execution of agreements. Job Requirements

  • J.D degree (ABA accredited)

Qualifications - Must be a member of the Indiana State Bar with at least three years of experience in insurance defense litigation. - Must be able to litigate and defend clients in both state and federal court. - Must be able to litigate and defend both tort/negligence actions and coverage disputes throughout the entire assigned state. - Candidate must have both personal lines and commercial lines experience and knowledge of claim values, particularly bodily injury claims. - Good knowledge of the laws of tort/negligence, civil procedure, and insurance contracts and their interpretation. - Should demonstrate initiative to improve his/her operation and adapt to the demands of a trial/litigation office, the civil trial courts and travel as required by the job. - Good analytical, organizational, legal research, and written and verbal communication skills are required. - Valid driver’s license required, as extensive auto travel may be necessary. - Good knowledge of Windows Suite products (Word, Excel, Outlook, etc.) preferred. - Position is 100% remote with occasional in-person meetings and training.
