Role Description We're excited to add an Assistant General Counsel, Finance & Strategic Transactions to our growing Legal team! Reporting to the General Counsel, you'll support the structuring, negotiation, and execution of the company's project finance facilities, joint ventures, and strategic transactions. Sitting at the intersection of corporate and project finance, this role spans: - Complex infrastructure and construction-related financings - Joint venture formation and governance - Investor and partner capital arrangements - Related M&A and strategic transactions What You'll Do! - Project & Structured Finance - Support deal structuring, negotiation, and drafting for project finance facilities and other financings related to complex infrastructure and construction projects. - Assist with financing arrangements in which investors and partners contribute capital to joint ventures and receive returns, including drafting and reviewing related agreements. - Collaborate with the Finance team on term sheets, credit agreements, security packages, and closing mechanics. - Joint Ventures & Strategic Transactions - Support the formation, negotiation, and governance of joint ventures with strategic and utility partners for site development and related projects. - Draft and negotiate joint venture, partnership, contribution, shareholder, and related governance agreements. - Collaborate with Regulatory Affairs and external counsel to ensure compliance with OFAC, CFIUS, and FOCD requirements (10 CFR 50.38). - Support investments and other strategic transactions, including due diligence and transaction documentation. - Corporate & Transactional Support - Draft, review, and negotiate a range of commercial and corporate agreements supporting transactions and ongoing operations. - Provide strategic advice on deal structures, terms, and conditions to achieve favorable outcomes and minimize legal risk. - Coordinate with internal stakeholders (Finance, Project Development, Tax, Operations) and external advisors to facilitate efficient deal execution. - Risk & Compliance - Identify and assess legal risks associated with financings and transactions, and develop and implement mitigation strategies. - Support compliance with applicable corporate, securities, and industry-specific regulatory requirements. Qualifications - J.D. from an accredited law school - Active license to practice law in at least one U.S. jurisdiction - 4+ years of experience in project finance, corporate, and/or transactional practice - Hands-on experience with: - Project finance for complex infrastructure or construction projects - Joint venture formation, governance, and joint venture finance structures, including investor capital contributions and returns - Excellent drafting and negotiation skills - Strong business acumen and the ability to interact effectively with all levels of the organization - Independently managing multiple matters in a fast-growing startup environment It Would Be Great If: - You have nuclear or energy industry experience. Salary The salary range for this role is $175,000–$225,000 and has a bonus opportunity. Role Description The Assistant General Counsel, Government Contracts, will play a crucial role in managing the contractual legal affairs of the organization. Reporting to the Senior Vice President, General Counsel/ Chief Legal Officer, this role mitigates legal risks while providing strategic legal advice and support to our business throughout the world on all facets of government contracting (both domestic and international), as well as related compliance and regulatory issues. The primary responsibilities of this position are to: - Contribute value as a member of the Legal Department. - Provide effective legal advice, counsel, and advocacy to V2X's business and functional areas. - Support V2X's strategic and tactical legal and compliance initiatives. - Provide effective advice on legal considerations of V2X's business strategies and their implementation. The person chosen for this position will be required to provide daily advice and counsel on issues involving government contracts, general business, and domestic and international business transactions. Role Description We are looking for a commercially minded Commercial Counsel to own the full lifecycle of our customer and vendor agreements. This role requires a high degree of independence and the ability to operate across multiple time zones, partnering closely with stakeholders to enable deals while managing risk. What You'll Do - Draft, review, and negotiate a high volume of SaaS agreements including MSAs, Order Forms, DPAs, NDAs, and partner/reseller agreements. - Manage the full contract lifecycle — from initial redlining and negotiation through execution — with a high level of ownership and urgency. - Partner closely with teams across legal, sales, finance, and operations to resolve contract issues and align risk with business objectives. - Identify legal and commercial concerns in proposed terms and develop practical solutions that balance protection with deal progression. - Advise on ARR-related contract terms including multi-year commitments, auto-renewal clauses, true-ups, and uplift provisions. - Ensure contractual alignment with revenue recognition requirements (ASC 606 / IFRS 15) in collaboration with Finance. - Support high-volume agreement handling while maintaining accuracy, consistency, and compliance with company standards. - Maintain and improve standard contract templates, playbooks, and fallback positions. - Contribute to process improvements related to contracting workflows and documentation management. - Support international deal structuring across multiple jurisdictions, with a US-primary focus and exposure to EU, UK, and APAC. - Manage GDPR, UK GDPR, SCCs, CCPA, and cross-border data transfer obligations within customer agreements. - Advise internal stakeholders on contractual risk, escalating material issues appropriately. - Track and manage contract obligations, renewal dates, and compliance requirements in the CLM system. - Develop and maintain commercial templates, playbooks, and guidelines to standardise negotiations and improve deal velocity.
