Chief Legal Officer

• Serve as chief legal advisor to the CEO & executive team, providing pragmatic, business-oriented counsel on strategy, growth, risk, and governance. • Build and lead the Legal, Compliance & Risk organization, including the enterprise risk management framework and quarterly Board risk reporting. • Own the full commercial contract lifecycle (MSAs, BAAs, SOWs, NDAs, vendor agreements) and lead negotiations with hospital systems, health plans, and channel partners, balancing risk with deal velocity. • Create templates, playbooks, and guardrails, and implement a contract lifecycle management (CLM) system, that empower Growth and Customer teams to move fast. • Own the enterprise healthcare compliance program (OIG seven elements) spanning HIPAA/HITECH, False Claims Act, Anti-Kickback Statute, Medicare/Medicaid billing rules, coordination of benefits, No Surprises Act, and TCPA/patient outreach compliance. • Lead legal incident response and breach readiness, including OCR and state notification obligations and client notifications under BAAs. • Drive responsible AI governance in partnership with the CISO and executive team, including data-use and model-training rights, client consent, IP ownership, and human-in-the-loop requirements. • Manage all litigation, disputes, regulatory inquiries, subpoenas, audits, and the corporate insurance program. • Provide legal leadership on M&A, financing, and strategic transactions, and partner with the private equity sponsor on governance and exit readiness. • Partner with the Chief People Officer on multi-state employment law compliance for a fully remote, 39-state workforce.

Job Requirements

  • Juris Doctor from an accredited law school; active bar membership in good standing in at least one U.S. state.
  • 15+ years of progressive legal experience, including 7+ years in-house in healthcare services, RCM, healthcare technology, or a similarly regulated multi-state business.
  • Prior experience as General Counsel, Chief Legal Officer, or Deputy GC with enterprise-wide scope and direct Board exposure.
  • Deep healthcare regulatory expertise: HIPAA/HITECH, False Claims Act, Anti-Kickback Statute, Medicare/Medicaid billing and secondary payer rules, and payer/provider contracting.
  • Experience with payer dispute and appeals frameworks, including ERISA appeals, state prompt-pay laws, and denial overturn strategy on behalf of providers.
  • Proven track record negotiating complex commercial agreements with hospital systems and/or health plans, including BAAs and data security terms.
  • Experience advising on AI governance in healthcare operations.
  • Experience building or significantly scaling a legal/compliance function, including team leadership, systems implementation, and budget ownership.
  • Strongly Preferred Experience in a private equity-backed company, including sponsor reporting, add-on M&A, and exit processes.
  • Experience supporting fully remote or highly distributed, multi-state workforces.
