• Draft, review, and negotiate a range of commercial agreements (partnership, vendor, distribution, and telecom-related contracts) to support Airalo's global eSIM marketplace operations across 200+ countries • Provide day-to-day legal advice to business teams (Commercial, Product, Marketing) on contractual risk, regulatory exposure, and deal structuring, escalating novel or high-risk issues appropriately • Support data privacy and protection compliance efforts, including GDPR and other regional data protection frameworks relevant to Airalo's international footprint • Assist in monitoring and interpreting telecommunications and consumer protection regulations across key operating markets, flagging risks to relevant stakeholders • Maintain and improve contract templates, playbooks, and internal legal documentation, contributing to legal operations initiatives that improve turnaround time and consistency across the legal function • Support corporate governance matters, including entity management and coordination with external counsel across multiple jurisdictions • Collaborate cross-functionally with People, Finance, and Security teams on legal matters affecting team members, vendors, and company policy
Job Requirements
- Qualified solicitor (England & Wales) or equivalent qualification with 2+ years PQE or equivalent
- Solid grounding in general commercial practice — drafting and negotiating a range of agreements (partnership, vendor, distribution) — ideally gained at a fast-growing company
- A Proven general commercial practice experience within a fast growing company
- Comfort advising colleagues directly, in plain language, at the design stage rather than after the fact.
- Strong organisational skills, with the ability to manage a high volume of contracts and competing priorities without close supervision
- Nice to have**
- In-house experience at a technology, or digital product company, particularly one operating across multiple jurisdictions.
- Exposure to telecommunications, consumer protection, or other sector-specific regulatory frameworks

Role Description The Legal Counsel - Commercial serves as a strategic legal advisor managing complex commercial negotiations. This role primarily involves: - Negotiating agreements in the healthcare technology industry. - Supporting the growth engine to manage deal flow while protecting Intelerad's interests. - Handling agreements such as SaaS subscription agreements, business associate agreements, data processing agreements, NDAs, vendor agreements, and more. - Possessing a working knowledge of applicable data privacy laws, including HIPAA. - Communicating deal status to stakeholders both internally and externally. - Negotiating deals with clients virtually and being flexible in negotiation strategy based on business needs. Key Responsibilities - Strategic Legal Counsel & Commercial Contracts: Draft, review, and negotiate major and nonstandard technology contracts with public and private sector customers, including complex licensing agreements, professional services agreements, and SaaS subscription agreements for cloud-based offerings. Drive standardization and continuous improvement of commercial contract terms, clause libraries, and playbooks while identifying and mitigating legal and commercial risks. - Decision Maker: Serve as an escalation point for complex deal issues and cross-functional challenges. - Vendor Contracts: Draft, review, and negotiate vendor agreements to assist Intelerad's procurement function.
