• Lead complex investigations involving regulatory and supervisory matters, fraud, whistleblower complaints, sales practices and customer harm - from investigation strategy through witness interviews and forensic document review. • Support the legal response to operational and compliance incidents, including cybersecurity, market conduct, consumer protection, and fraud. • Support our enterprise crisis management, incident and escalation frameworks. • Partner with Compliance, Risk, Privacy, Finance, and Information Security to identify risks and recommend enhancements. • Manage litigation proceedings and pre-litigation disputes or complaints including the management of external counsel. • Provide legal advice and guidance on a range of legal and strategic issues impacting the business and develop tailored solutions to complex problems.

• Draft, review, and negotiate commercial agreements, including NDAs, master services agreements, insertion orders, vendor agreements, amendments, and other business contracts. • Identify legal and commercial risks in proposed agreements and provide practical recommendations to internal stakeholders. • Support senior legal leadership in developing negotiation strategies, fallback positions, contract templates, clause libraries, and legal playbooks. • Advise internal teams on routine contractual questions and escalate higher-risk or novel issues as appropriate. • Conduct legal research and prepare clear, concise summaries regarding Philippine and international laws, regulations, and compliance requirements. • Assist with corporate governance, entity maintenance, regulatory filings, and other legal requirements involving the company’s international operations. • Support the company’s data privacy program, including responding to privacy-related requests, reviewing data protection terms, and helping evaluate privacy requirements. • Assist with employment, corporate, compliance, and other general legal matters under the direction of senior legal leadership. • Maintain accurate records of contracts, corporate documents, legal advice, and other legal materials. • Coordinate with Finance, Sales, Revenue, Human Resources, Technology, Security, and other departments to support compliance with contractual and legal obligations. • Assist with vendor onboarding, due diligence, security questionnaires, privacy assessments, and related documentation. • Help develop and improve legal processes, workflows, policies, training materials, and internal guidance. • Monitor developments in relevant laws and regulations and communicate material changes to appropriate stakeholders. • Manage assigned legal matters and projects from intake through completion, with appropriate supervision and escalation. • Provide other legal and administrative support as needed.

Role Description The Legal Counsel - Commercial serves as a strategic legal advisor managing complex commercial negotiations. This role primarily involves: - Negotiating agreements in the healthcare technology industry. - Supporting the growth engine to manage deal flow while protecting Intelerad's interests. - Handling agreements such as SaaS subscription agreements, business associate agreements, data processing agreements, NDAs, vendor agreements, and more. - Possessing a working knowledge of applicable data privacy laws, including HIPAA. - Communicating deal status to stakeholders both internally and externally. - Negotiating deals with clients virtually and being flexible in negotiation strategy based on business needs. Key Responsibilities - Strategic Legal Counsel & Commercial Contracts: Draft, review, and negotiate major and nonstandard technology contracts with public and private sector customers, including complex licensing agreements, professional services agreements, and SaaS subscription agreements for cloud-based offerings. Drive standardization and continuous improvement of commercial contract terms, clause libraries, and playbooks while identifying and mitigating legal and commercial risks. - Decision Maker: Serve as an escalation point for complex deal issues and cross-functional challenges. - Vendor Contracts: Draft, review, and negotiate vendor agreements to assist Intelerad's procurement function. Work alongside purchasers and internal approvers to ensure vendor agreements are executed in a timely manner while adhering to Intelerad's financial, security, and legal guidelines. - Privacy & Information Security Knowledge: Maintain a working understanding of applicable privacy laws, including HIPAA, that relate to the handling of personal health information, and negotiate deals within the boundaries those laws set. - Cross-Functional Collaboration: Partner with departments across Intelerad to close deals while protecting the business, setting reasonable expectations for internal stakeholders, and identifying key approvers needed to push negotiations forward. Qualifications - JD and active bar membership in at least one U.S. state. - 5+ years of experience as a qualified lawyer at a leading law firm and/or in the technology industry, including experience supporting global technology companies through complex transactions. - Solid understanding of corporate, commercial, and intellectual property law, with proven experience drafting and negotiating technology-related subscription agreements for cloud-based software offerings. - Demonstrated knowledge and practical experience working with applicable data privacy laws, including HIPAA. - Strong understanding of software, healthcare technology, and privacy regulations, with the ability to quickly grasp medical imaging concepts. - Understanding of IT security controls and frameworks. - Proven ability to influence and collaborate with cross-functional teams and build strong internal and external relationships. - Demonstrated ability to provide clear, actionable legal guidance to executives and operational teams. Preferred Qualifications & Special Requirements - Familiarity with ISO 27001, SOC 2, or other security and privacy certification frameworks. Compensation - Base pay for this position ranges from $130,000 to $150,000 within any geographic market in the US. - Pay may vary depending on job-related knowledge, skills, and experience. - Intelerad is a total compensation company. Pay is dependent on the position offered. - Bonus and other forms of compensation may be provided as part of a total compensation package, in addition to a full range of medical, financial, retirement, PTO, and/or other benefits.
