• Lead complex investigations involving regulatory and supervisory matters, fraud, whistleblower complaints, sales practices and customer harm - from investigation strategy through witness interviews and forensic document review. • Support the legal response to operational and compliance incidents, including cybersecurity, market conduct, consumer protection, and fraud. • Support our enterprise crisis management, incident and escalation frameworks. • Partner with Compliance, Risk, Privacy, Finance, and Information Security to identify risks and recommend enhancements. • Manage litigation proceedings and pre-litigation disputes or complaints including the management of external counsel. • Provide legal advice and guidance on a range of legal and strategic issues impacting the business and develop tailored solutions to complex problems.
Job Requirements
- LL.B. or J.D. and member of a Canadian provincial bar association with an active membership.
- 5 to 7 years of litigation experience, preferably with a mix of private practice and in-house experience.
- Demonstrated knowledge in areas related to litigation, internal investigations, and/or crisis response in a regulated industry, with a preference for experience advising financial institutions, technology, or Fintech companies.

Role Description The Legal Counsel - Commercial serves as a strategic legal advisor managing complex commercial negotiations. This role primarily involves: - Negotiating agreements in the healthcare technology industry. - Supporting the growth engine to manage deal flow while protecting Intelerad's interests. - Handling agreements such as SaaS subscription agreements, business associate agreements, data processing agreements, NDAs, vendor agreements, and more. - Possessing a working knowledge of applicable data privacy laws, including HIPAA. - Communicating deal status to stakeholders both internally and externally. - Negotiating deals with clients virtually and being flexible in negotiation strategy based on business needs. Key Responsibilities - Strategic Legal Counsel & Commercial Contracts: Draft, review, and negotiate major and nonstandard technology contracts with public and private sector customers, including complex licensing agreements, professional services agreements, and SaaS subscription agreements for cloud-based offerings. Drive standardization and continuous improvement of commercial contract terms, clause libraries, and playbooks while identifying and mitigating legal and commercial risks. - Decision Maker: Serve as an escalation point for complex deal issues and cross-functional challenges. - Vendor Contracts: Draft, review, and negotiate vendor agreements to assist Intelerad's procurement function.
