Junior Legal Counsel
Proalpha
• As Legal Counsel, you will handle corporate law matters within the proALPHA Group and ensure that resolutions, documentation, contracts and register-related processes are implemented accurately and on time. • You will manage corporate law matters for the proALPHA Group and ensure reliable documentation of advisory board and shareholder resolutions. • You will prepare, review and manage documents related to power of attorney (Prokura), management appointments, the appointment of auditors, and the approval and adoption of annual financial statements. • You will be responsible for drafting and reviewing contracts, agreements and legal documents—particularly in the corporate and management context—and for coordinating commercial register filings and collaboration with notaries. • You will support internal departments such as Purchasing and Facility Management in reviewing external contracts, NDAs, purchasing terms, lease agreements, amendments and other legal issues. • You will help develop legal operations processes and support the digitalization of central workflows within the Group Legal Department.
Job Requirements
- First State Law Examination or degree in business law (Wirtschaftsjurist)
- Initial experience in an in-house legal department, law firm, notary’s office or in Legal Operations, ideally within an (international) corporate environment
- Strong knowledge of commercial and corporate law, confident handling of shareholder and transparency register obligations, and experience drafting and reviewing NDAs, contracts, legal documents, decision memoranda and presentations; experience reviewing external contracts, purchasing terms or lease documents
- Precise, independent and solution-oriented working style, and ability to collaborate effectively in decentralized teams
- Very good German language skills and good English skills for communication in an international environment.

• Lead the drafting, review and negotiation of commercial agreements, including, without limitation, commercial agreements, vendor contracts and privacy/data protection agreements • Provide practical legal counsel to internal stakeholders on a wide range of legal matters, including but not limited to, privacy/data protection, health care, health regulatory, product regulatory, corporate/commercial, vendor due diligence, procurement, marketing, intellectual property, information technology/artificial intelligence and human resources • Supply legal responses to client questionnaires and requests for proposals/information • Support different legal, privacy, compliance, corporate governance, ethics, government affairs and enterprise risk management programs or initiatives • Collaborate with other subject matter experts as a member of a cross-functional team
• Draft, negotiate, and close enterprise SaaS/AI agreements, including relevant addenda and schedules (think DPAs) • Build and maintain contract templates and a negotiation playbook that empowers the sales team to move deals faster • Triage inbound redlines efficiently and establish contract review SLAs • Own day-to-day privacy compliance and data governance strategy • Manage vendor and partner agreements, including software licenses and professional services contracts • Serve as the embedded legal partner for Sales & Marketing, Product, Engineering and Finance • Identify legal risks early in the product development cycle and advise on mitigation without killing velocity • Build and refine the legal ops infrastructure, including contract management tooling and intake processes • Help to identify when to use outside counsel, and manage those relationships
