• Own Convergent's legal strategy – Set the overall legal and risk framework for the organization and all FROs. Advise the President/CEO and leadership team on significant decisions, structural questions, and areas of legal or regulatory exposure—before they become problems. • Lead IP strategy and governance – Build and maintain Convergent's IP strategy across the FRO portfolio: when to file, what to protect, how to structure licensing and spinout transactions. Work with FRO CEOs to ensure IP decisions are made deliberately and early. Manage relationships with outside patent counsel and help develop simple playbooks that empower FRO teams to make good disclosure decisions without escalating everything. • Manage and develop the legal team – Provide strategic direction to the FRO General Counsel and Contracts Counsel. Set clear escalation norms, and ensure the function is operating as a cohesive unit—not a collection of individual contributors. • Own outside counsel relationships – Manage Convergent's roster of outside counsel across nonprofit law, patents, corporate transactions, employment, and international matters. Negotiate rates, evaluate performance, and make sure the right firm is working on the right matter at the right price point. • Ensure 501(c)(3) compliance across the portfolio – The disregarded LLC structure protects corporate liability, not tax-exempt status. You'll ensure that FRO activities are monitored for exempt-org compliance, flag risks before they become IRS issues, and maintain strong oversight relationships with specialized outside counsel. • Navigate international and regulatory complexity – Convergent has UK entities, government-funded FROs, and an evolving set of international relationships. You'll ensure the organization is on the right side of GDPR, OFAC, anti-bribery statutes, and other cross-border requirements. • Drive deal strategy on complex transactions – Be at the table early on spinout structures, licensing agreements, FRO graduations, and university partnerships—not just at the contract stage. Help shape the deal before the lawyers are handed a draft. • Build systems and playbooks – Develop the templates, process documentation, and institutional knowledge that let Convergent's legal function scale without scaling headcount linearly. The goal is a legal function that makes the rest of the organization faster, not slower.

• Own drafting, negotiation, and execution of highly tailored commercial agreements with strategic partners and sophisticated counterparties in the payments and fintech space, including first-of-their-kind deal structures. • Drive novel agreement frameworks and deliver practical, business-centric legal advice that balances risk with speed and flexibility. • Partner cross-functionally with Business Development, Sales, Product, Engineering, Finance/Tax, and Compliance to solve complex problems, build partnerships, and close deals quickly. • Build scalable commercial playbooks and risk-mitigation strategies that accelerate deal timelines and increase business flexibility across the payments portfolio. • Identify legal issues that extend beyond your core expertise and drive resolution by coordinating with specialists across the Coinbase legal team and outside counsel.

• Drafting, Reviewing, and Negotiating Contracts • Lead the drafting, review, and redlining of a broad range of commercial agreements — including MSAs, SOWs, NDAs, DPAs, vendor, consulting, production, and talent agreements. • Independently negotiate agreements with counterparties (both clients and vendors) and effectively represent DEPT®’s interests. • Contract Management and Compliance • Support contract compliance with established company processes and policies. • Support and drive the continuous improvement of DEPT®’s contract templates and playbooks to reflect current business and legal considerations. • Monitor changes in applicable laws, regulations, and best practices relevant to DEPT®’s operations. • Risk Management and Dispute Handling • Be able to lead commercial dispute resolution efforts in collaboration with the DEPT® Legal team, providing risk assessments and recommending practical solutions. • Serve as a trusted legal advisor to company management at all levels, providing timely, actionable, and business-focused guidance. • Process Improvement and Relationship Building • Identify process gaps and drive creative solutions in collaboration with relevant stakeholders. • Build and maintain strong working relationships with business teams to ensure contracts are well-tailored to DEPT®’s needs. • Coordinate with and manage external counsel and subject matter experts where required. • AI Tools and Technology • Leverage AI-powered legal tools — including contract review and analysis platforms and AI-assisted drafting tools — to increase efficiency and throughput across the contract lifecycle. • Actively identify opportunities to integrate AI tools into legal workflows, while applying sound professional judgment to review, validate, and take responsibility for all AI-generated outputs. • Partner with the broader organization on AI-related commercial matters, including advising on AI procurement contracts, data processing terms, and IP and liability considerations arising from the use of AI services. • Leadership and Knowledge Sharing • Stay at the forefront of developments in legal AI, emerging technologies, and industry standards, proactively assessing their applicability to DEPT®’s legal function and sharing insights with the wider team. • Mentor junior members of the Legal team and foster a culture of continuous learning and knowledge sharing.

• Serve as a primary legal point of contact for Finance, HR, Information Security, Operations, Product, Procurement, Sales, Customer Success, and leadership on recurring legal questions • Provide practical legal analysis and recommendations on business, operational, customer-facing, and internal legal matters; draft legal opinions, notices, letters, internal guidance, and related documentation • Review and interpret contractual obligations, customer commitments, vendor obligations, internal policies, and legal risk issues • Support routine claims, disputes, demand letters, customer escalations, and pre-litigation matters; identify issues requiring escalation to the SVP or outside counsel • Review and advise on customer agreements, SaaS agreements, order forms, SOWs, amendments, renewals, vendor agreements, and government contracting documents • Assist with incident response documentation, breach notification analysis, preservation notices, and outside counsel coordination • Build practical templates and review standards for procurement and vendor management • Support the development and maintenance of policies, procedures, templates, and controls across privacy, records retention, anti-corruption, conflicts of interest, procurement, and contract management • Draft and review customer letters, legal notices, demand responses, cure notices, reservation of rights letters, and other legal correspondence • Coordinate with outside counsel on employment, litigation, privacy incidents, etc.
