• Own drafting, negotiation, and execution of highly tailored commercial agreements with strategic partners and sophisticated counterparties in the payments and fintech space, including first-of-their-kind deal structures. • Drive novel agreement frameworks and deliver practical, business-centric legal advice that balances risk with speed and flexibility. • Partner cross-functionally with Business Development, Sales, Product, Engineering, Finance/Tax, and Compliance to solve complex problems, build partnerships, and close deals quickly. • Build scalable commercial playbooks and risk-mitigation strategies that accelerate deal timelines and increase business flexibility across the payments portfolio. • Identify legal issues that extend beyond your core expertise and drive resolution by coordinating with specialists across the Coinbase legal team and outside counsel.

Job Requirements

  • 5+ years of transactional legal experience in-house or at a leading law firm, with a JD (or applicable equivalent) and an active license in a U.S. state.
  • Demonstrated expertise drafting, structuring, and negotiating complex commercial agreements with fintechs, banks, payment processors, payment networks, and/or payment issuers/acquirers.
  • Proven ability to navigate highly regulated financial services environments and translate evolving regulatory landscapes into actionable commercial guidance.
  • Track record of independently managing a high-volume deal pipeline while maintaining precision in drafting and risk assessment.
  • Utilizes generative AI responsibly, maintaining human oversight to deliver business-ready outputs and drive measurable improvements in workflow efficiency, cost, and quality.

Role Description Sellers Dorsey is seeking an Assistant General Counsel/ Transactional Attorney who will provide legal support to the Company across core legal areas, including commercial and government contracting, associated healthcare-related legal matters (such as AKS and FCA), and general business operations. The role independently manages a defined scope of legal work and serves as a primary legal partner to internal stakeholders for day-to-day matters. As the Assistant General Counsel, you report to the Associate General Counsel and apply sound legal judgment within established frameworks and escalate novel, high-risk, or non-standard issues. Key Responsibilities - Draft, review, and negotiate commercial and government contracts and proposals, including client, vendor, subcontractor, and data-related agreements. - Serve as the primary legal point of contact for contract-related matters within assigned workstreams and ensure alignment with Company standards and guidance. - Perform general BPI work related to contracting and assistance with CLM maintenance as needed. - Support M&A and corporate initiatives, including due diligence, document review, coordination with outside counsel, and integration support. - Perform related legal work, including internal initiatives, risk mitigation support, and collaboration with outside counsel on general business matters. - Exercise independent judgment on standard and moderately complex legal matters within established frameworks, and escalate non-standard or high-risk terms, ambiguous or unclear legal issues, and matters with potential enterprise or reputational impact. Qualifications - J.D. Degree required. Admission in good standing in at least one U.S. jurisdiction required; PA admission or eligibility preferred. - Minimum 5–7 years of professional legal experience (A combination of law firm, in-house, or government experience preferred). - Working knowledge of healthcare, Medicaid, and regulatory frameworks relevant to Company services. - Experience drafting and negotiating commercial contracts. - Exposure to M&A or corporate transactions preferred but not required. Core Capabilities - Strong contract drafting and issue-spotting skills. - Ability to manage a consistent volume of work with competing priorities. - Sound judgment within defined legal frameworks. - Ability to communicate legal issues clearly to non-legal stakeholders. Compensation & Benefits - The anticipated salary range for candidates is $130,000/year in our lowest geographic market range to up to $160,000/year. - The final pay offered to a successful candidate will be dependent on several factors that may include but are not limited to the type and years of experience within the job, the type of years and experience within the industry, the candidate’s education, and the candidate’s market location. - Typically, candidates are not hired near the top of the range and compensation decisions are made based upon Sellers Dorsey’s Total Compensation Policies & Guidelines. - The successful candidate will also be eligible to participate in our annual Corporate Incentive Plan (CIP) that can range to up to 15% of annual salary. - Provided they meet all eligibility requirements under the applicable plan documents, the successful candidate (and their eligible dependents) will be eligible to enroll in group healthcare plans that offer medical, dental, and vision and for insurance plans offering short term disability, long term disability, and basic life. - Employees are also able to enroll in Sellers Dorsey’s 401k plan provided they meet plan requirements. - Sellers Dorsey offers a Flexible Time Off that allows employees to use what they need. - Additionally, we offer 10 paid holidays throughout the calendar year, paid time off for qualifying medical leave, and up to 12 weeks of combined paid parental and bonding leave.
