Job Description

Director, Contracts Counsel

MDWerks Inc.

• Draft, review, negotiate, and manage a broad range of agreements supporting all aspects of the organization, including master services agreements, consulting agreements, confidentiality agreements, license agreements, clinical trial agreements, manufacturing and supply agreements, and other commercial and operational contracts • Partner closely with internal constituents, business leaders and cross-functional stakeholders to structure transactions, assess legal and business risks, and facilitate successful business outcomes • Resolve contractual disputes and support the management of contract-related legal issues • Drive continuous improvement of contracting processes, templates, policies, and contract management systems to enhance efficiency, consistency, and scalability • Coordinate with outside counsel and other external advisors as appropriate • Support additional legal, compliance, corporate, and strategic initiatives within the Legal Department as needed

Job Requirements

  • J.D. degree from an accredited law school, strong academic credentials, and active membership in good standing with at least one state bar
  • 5 or more years of relevant experience in the biotechnology/pharmaceutical industry and/or equivalent law firm experience
  • Demonstrated expertise drafting and negotiating complex commercial, clinical, and operational agreements
  • Excellent written, verbal, negotiation, and interpersonal communication skills
  • Ability to think creatively in confronting new issues and pursuing novel approaches to old problems
  • Practical, clear and organized
  • Ability to work under pressure, meet deadlines and exercise sound business judgment with critical thinking skills and high ethical standards
  • Highly organized, detail-oriented, and capable of managing multiple priorities and deadlines simultaneously
