• Support the structuring and negotiation of joint ventures, partnerships, and co-investment arrangements with institutional capital partners, including multi-tiered JV / PropCo / DevCo structures, LLC and shareholder agreements, waterfalls and distribution mechanics, term sheets, etc. • Support negotiation of hyperscale data center leases, including long-term NNN build-to-suit leases, letters of intent, agreements for lease, and related development agreements with hyperscalers, neoclouds, and other tenants • Support land transactions across multiple jurisdictions, including purchase and sale agreements, letters of intent, option agreements, exclusivity arrangements, and conditionality tied to planning, power, and environmental matters • Support cross-border transactions across the U.S., Europe, and APAC, coordinating local counsel on jurisdiction-specific structuring, regulatory, tax, and real estate requirements • Support equity capital raises and co-investment processes, including diligence coordination, information rights, confidentiality arrangements, and investor documentation • Direct and manage outside counsel across multiple jurisdictions, conveying deal strategy, assigning workstreams, reviewing work product, and ensuring the business perspective is reflected in all documentation; manage legal budgets and timelines • Conduct commercial and legal due diligence on potential partners, co-venturers, tenants, and counterparties; provide strategic advisory on credit risk, structural risk, and deal alignment • Advise on portfolio-level matters arising from JV arrangements, including exclusivity scope, investment opportunity allocation, governance, information rights, and exit mechanics • Support deal execution end-to-end, from term sheet through close, balancing legal rigor with commercial objectives
Job Requirements
- JD from accredited law school
- Barred in at least one U.S. State or the District of Columbia
- 7–12 years of experience in transactional work related to real estate, data centers, or infrastructure development, with meaningful time spent on the principal or sponsor side, or at a law firm advising developers, sponsors, or investors on similar transactions
- Experience in the data center sector, including hyperscale leasing or build-to-suit development, strongly preferred
- Experience with European or APAC real estate or infrastructure transactions and cross-border JV structures, strongly preferred
- Prior in-house experience at a data center developer, real estate investment platform, or infrastructure fund, strongly preferred
- Self-starter with exceptional judgment and business acumen; strong commercial mindset and enjoys being close to the business
- Hands-on experience negotiating JV/LLC agreements, real estate purchase and sale agreements, and long-term commercial leases
- Familiarity with institutional capital structures, including promote/waterfall mechanics, preferred returns, and governance and control provisions
- Proven ability to manage outside counsel effectively, including foreign local counsel, reviewing output, and holding firms accountable to the business objectives of each deal
- Comfortable operating in a fast-paced, global, high-growth environment with evolving priorities and balancing legal precision with business strategy
- High emotional intelligence with excellent interpersonal skills and demonstrated ability to build trust with internal stakeholders and external partners
- Track record of independently handling complex deals and translating legal considerations into actionable business guidance
- Comfortable working as the sole dedicated transactions professional initially, partnering directly with senior leadership and outside counsel
