Intellectual Property Counsel

Role Description Keysight is seeking an experienced Intellectual Property Counsel to join our growing global IP organization at an exciting time in the company's evolution. This role offers a unique opportunity to work across the full spectrum of intellectual property matters within a global technology leader. You will partner closely with engineers, business leaders, and legal colleagues to help protect and maximize the value of Keysight's innovations while supporting strategic initiatives involving patents, licensing, mergers and acquisitions, open-source software, and emerging technologies such as artificial intelligence. The successful candidate will contribute to the management of Keysight's extensive global intellectual property portfolio, helping protect innovations that support leading technologies across communications, aerospace and defense, semiconductor, software, and emerging markets. You will advise on complex intellectual property and technology transactions, support strategic business initiatives, and help shape the future of intellectual property strategies across the company. This position offers broad exposure to senior leadership, cutting-edge technologies, and high-impact business initiatives across a global organization, along with significant opportunities for professional growth and increasing responsibility within a highly experienced and collaborative intellectual property team. Responsibilities - Intellectual Property Counseling: - Advise clients on intellectual property matters involving patents, trademarks, copyrights, trade secrets, technology licensing, and related contractual issues. - Partner with engineering, product, and business teams to identify and address intellectual property risks and opportunities. - Patent Portfolio Strategy & Management: - Review invention disclosures and recommend patent filing and protection strategies aligned with business objectives. - Help manage and develop portions of Keysight's global patent portfolio, including collaboration with inventors, outside counsel, and internal IP operations teams. - Evaluate patent drafting, prosecution, defensive publication, and portfolio development strategies. - Technology Transactions & Commercial Agreements: - Draft, review, and negotiate intellectual property provisions in a variety of agreements, including technology licenses, joint development agreements, collaboration agreements, and intellectual property acquisition or divestiture transactions. - Provide practical business-focused guidance regarding intellectual property ownership, licensing, and risk allocation. - Mergers, Acquisitions & Strategic Initiatives: - Conduct intellectual property due diligence for mergers, acquisitions, investments, and strategic transactions. - Support integration of acquired intellectual property assets and portfolios. - Assess intellectual property risks and opportunities associated with corporate growth initiatives. - Freedom to Operate & Risk Assessment: - Identify and assess intellectual property risks that may impact product development, commercialization, and business operations. - Develop practical mitigation strategies and provide guidance on freedom-to-operate matters. - Emerging Technologies, AI & Open Source: - Advise on intellectual property issues related to artificial intelligence, including inventorship, data rights, model-related IP considerations, and emerging legal developments. - Evaluate open-source software and third-party licensing compliance issues and recommend appropriate risk mitigation strategies. - Outside Counsel & IP Enforcement: - Manage outside counsel supporting patent, trademark, and related intellectual property matters. - Support enforcement and protection of Keysight's intellectual property rights, including infringement investigations, dispute management, and coordination with internal and external stakeholders. Qualifications - Juris Doctor (JD) or LLM from an accredited law school and active license to practice law in at least one U.S. state. - USPTO Registered Patent Attorney. - Minimum of 8 years of intellectual property legal experience, including patent preparation and prosecution, portfolio management, intellectual property transactions, technology licensing, or a combination thereof. - Demonstrated ability to advise technical and business stakeholders on complex intellectual property matters. - Strong analytical, organizational, and problem-solving skills. - Excellent written and verbal communication skills with the ability to communicate effectively across technical, business, and legal audiences. - Proven ability to work independently while collaborating effectively within cross-functional and global teams. - Proficiency with Microsoft Office applications and comfort using web-based technologies and Generative AI tools. Preferred Qualifications - Technical degree in engineering, computer science, physics, electrical engineering, or a related technical discipline is strongly preferred. - Prior in-house counsel experience within a technology-driven organization. - Experience supporting engineering, software, communications, semiconductor, test and measurement, or other innovation-focused businesses. - Familiarity with open-source compliance, AI-related intellectual property issues, and/or intellectual property aspects of mergers and acquisitions transactions. - Experience with intellectual property licensing, technology transactions, or commercial agreements. - Experience managing outside counsel and mentoring junior legal or intellectual property professionals. - Technical background in engineering, computer science, physics, or a related field is a plus. Requirements - This position requires access to certain goods, software, technology, or technical data subject to U.S. export control laws and regulations. - Employment in this position for non-U.S. persons is contingent on Keysight’s ability to obtain any required government authorizations. - We are unable to support visa sponsorship for this position.
