• Serve as a trusted senior legal advisor to Corporate Development, Finance, Investor Relations, and other business teams on complex, high-impact matters, delivering practical, business-focused legal solutions • Lead and support M&A, strategic transactions, and related financings from diligence through closing and integration, including transaction structuring; drafting and negotiating definitive agreements; managing outside counsel; advising on integration-related legal, governance, and risk issues; and supporting strategic investments in partnership with Corporate Development and Finance teams • Partner with our Total Rewards team and independent compensation advisors to review and advise on executive compensation matters, including plan design, operation and related disclosure issues • Partner closely with our Stock team on equity-related matters, including equity plan administration, employment-related equity arrangements, ESPPs, and related disclosure issues, providing clear, risk-balanced guidance aligned with business objectives • Support Docusign's Board of Directors and executive management on broad range of corporate matters; plan, prepare and organize materials for meetings of the Board and Board committees • Advise on corporate and securities law matters for a public company, including the preparation and review of SEC filings (registration statements, Forms 10-K, 10-Q, 8-K, and Section 16 filings), disclosure controls and procedures, and compliance with stock exchange listing requirements • Plan and manage preparation of proxy statement and preparation and conduct of annual meeting • Partner with investor relations and communications teams on a range of IR and stockholder engagement matters, including investor presentations, quarterly earnings announcements, scripts and Reg FD considerations • Oversee corporate secretarial and entity management functions • Monitor and assess legislative and regulatory developments affecting the company, providing actionable guidance to internal stakeholders on risk, compliance and strategic implications • Demonstrate leadership within the legal team by collaborating with other attorneys, setting best practices, and contributing to the development of a collaborative, solutions-oriented legal culture • Plan and execute other corporate and other projects in partnership with the Deputy General Counsel and/or General Counsel

Job Requirements

  • Basic Juris Doctor (JD) from an ABA-accredited law school
  • Active membership in good standing with at least one U.S. state bar
  • 15+ years of relevant experience, including experience at a major law firm and in-house
  • Experience with corporate law, corporate governance standards, and trends
  • Experience drafting, negotiating and leading strategic transaction documents
  • Experience with equity compensation plans and executive compensation

Role Description Deputy Attorneys General serving in the Office of Attorney General’s Consumer Protection Division-Consumer Litigation Section provide legal representation on behalf of the State and for the benefit of consumers by leading case teams in the investigation and litigation of cases enforcing Indiana consumer protection laws. In this role, the Deputy Attorney General will be responsible for investigation, review, and litigation of antitrust cases and competition policy issues relevant to Indiana and ensuring free and fair competition. The Division’s work encompasses a variety of substantive areas of consumer protection and related law, ranging from laws prohibiting unfair, abusive, or deceptive acts in consumer transactions to laws governing nonprofit corporations and charitable trusts. Working as a Consumer Litigation Deputy provides a unique opportunity to apply one’s legal skills to protect the public interest in significant cases directly impacting the financial well-being of Indiana citizens. Examples of Duties - Assesses facts and law to recommend appropriate disposition of complaints alleging unfair, abusive, or deceptive acts against consumers; - Reviews pertinent decisions, policies, regulations, and other legal matters pertaining to cases; - Maintains caseload of investigation and litigation cases addressing violations of state and federal consumer protection laws, with an emphasis on competition law, including the Sherman Act, the Clayton Act, and Ind. Code § 24-1-2-1 and 2; - Reviews pre-merger notices submitted to the Office of the Indiana Attorney General pursuant to Ind. Code § 25-1-8.5; - Handles all phases of litigation, including factual and legal research, preparation of court papers, discovery, court conferences, hearings, and trials; - Advises other Office of Attorney General Divisions and other State agencies and officials about consumer protection issues and state and federal laws governing consumer transactions; - Coordinates Office’s consumer protection and antitrust enforcement efforts with efforts of other State Attorneys General Offices and with other state and federal regulators; - Interacts with the general public to educate Indiana consumers about consumer protection matters; - Performs other tasks assigned by the Section Chief or Director; - This position may require some travel, both within and outside the State. Qualifications - 2-3 years legal experience required. - Prior litigation experience preferred. - Licensed to practice law in the State of Indiana, or eligible for Indiana licensure, required. Requirements - Ability to balance and manage high volume of cases and investigations and to handle multiple assignments of varied type and difficulty on ongoing basis. - Knowledge of state and federal rules of procedure. - Familiarity with substantive law, in antitrust and consumer protection, preferred. - Familiarity with health care sector and/or mergers and acquisitions practice, preferred. - Excellent research and analytical skills. - Excellent written and oral advocacy skills. - Strong sense of ethics, awareness of potential conflicts of interest that arise in public sector, adherence to Rules of Professional Conduct and state ethics rules. - Strong organizational and time-keeping abilities. - Strong commitment to public service. We are seeking to fill a Legal Counsel – North America (NAM) role that will support our North American businesses by providing high‑quality, pragmatic legal advice and will report to the Senior Legal Counsel NAM. In this role, you will be a trusted legal business partner for regional stakeholders. The role is designed to build broad in‑house legal experience across commercial contracting, dispute resolution, operations, and compliance. You will have significant exposure to senior business leaders, cross‑functional teams, and complex international matters, within a supportive environment focused on professional growth and development. This is a hybrid role that will be based in Lenexa, KS. Key Responsibilities: Legal Support & Business Partnership - Act as a legal point of contact for business colleagues (including sales, procurement, finance, operations, HR), providing day‑to‑day legal support and advice. - Attend leadership and project meetings to understand business priorities, risks, and decision‑making processes. Compliance, Employment & Governance - Partner with HR colleagues on early‑stage employment‑related matters, such as internal investigations, evidence preservation (in coordination with IT), and issue‑spotting. - Support the delivery of legal and compliance training to business colleagues across North America. - Maintain and improve legal templates, policies, and standard documents. - Assist with business registrations and liaison with registered agent vendors. - Partner with Finance on insurance‑related matters, annual reporting inputs, and related activities.
