• Provide dedicated support and subject matter expertise to the U.S. legal function on a broad range of matters, including commercial, product development and regulatory compliance, intellectual property use and litigation. • Advise internal business partners on legal risk affecting the business and its strategies and collaborating on strategies to best manage identified risks. • Build and operationalize core legal processes and implement legal operation tools. • Maintain a current awareness of evolving laws, regulations and industry guidance relevant to the digital health industry that may impact the business. • Partner with business functions such as Product, Regulatory Affairs, Clinical and Marketing to ensure compliance with internal policies and regulatory and legal requirements. • Review materials from marketing and corporate communications teams. • Identify and support the development of training materials and policy and procedure documents on relevant legal and business issues. • Support the domestic expansion of the company. • Report to the Deputy General Counsel/ US Commercial and Legal Operations to escalate business and legal issues as appropriate and support in managing outside counsel relationships on legal matters.

• Supervising a junior team member and acting as a senior representative of the legal team • Drafting, reviewing and negotiating all types of commercial contracts – both simple and complex – including customer agreements, vendor agreements, reseller agreements, data licences and NDAs • Supporting sales activities, including reviewing proposals, providing RFP support and reviewing contract redlines • Advising on new laws and regulations (including data privacy), developing internal policy documentation and processes, legal templates and online terms • Supporting internal projects such as integrating new businesses acquired via M&A, advising on new product releases and information security improvements • Driving the adoption of new technologies, automated ways of working and improved processes within the legal team • Acting as a direct point of contact for business teams including HR, group IT, marketing, sales, product and technology, taking the lead on specific product and legal areas

• Provide expert counsel on complex multi-jurisdictional corporate and regulatory matters while negotiating business and strategic requirements and agreements. • Advise product teams on regulatory compliance matters concerning DeFi and AI. Conduct regulatory research and advise the business on the most appropriate implications of such regulations to each of our business lines. • Structure Archon Financial’s business and relationships with partners from both corporate and contractual perspectives. • Monitor, assess, and advise the business on legal and regulatory issues that impact product development. • Continuously evaluate operational risks and legal requirements to ensure outstanding support as Archon Financial and Skybase’s businesses continue to grow. • Advise on and structure complex commercial crypto transactions involving crypto. • Manage relationships with external local counsels across a range of jurisdictions to secure clear, actionable input in an efficient and cost-effective manner. • Work effectively across business units and product-related functions to resolve complex business and risk issues. • Build relationships with key stakeholders in the Sky Ecosystem who cooperate with Archon Financial or impact our projects. • Other legal projects: depending on skills, preferences, and company needs, you can get involved in a wide range of legal topics, including RWAs, intellectual property, employment, corporate projects, and other in-house legal projects.

• Draft, review, and negotiate commercial and partnership agreements. • Provide legal counsel on traditional and decentralized governance structures related to the Golem Foundation and Octant. • Advise on regulatory and compliance issues across multiple jurisdictions. • Assess the legal implications of new product, technical and business initiatives, especially those involving cross-border components. • Closely cooperate with business and product teams as well as the project leadership on resolving the challenges they may face. • Maintain up-to-date knowledge of relevant developments in crypto regulation, DAOs, and digital asset law. • Ensure legal frameworks support public goods funding, open-source contributions, and decentralization principles. • Manage relationships with external legal counsel in various countries.
