About the Role The Corporate Counsel will serve as a trusted legal advisor, supporting RethinkFirst’s legal operations and business initiatives across the organization. This role involves counseling business leaders, managing the full lifecycle of commercial contracts, ensuring regulatory compliance, and mitigating legal risks. This role requires a high level of organization, communication, and project management skills, as well as the ability to work efficiently in a fast-paced, deadline-driven environment. Critical to success in this role is the ability to partner effectively with cross-functional teams (Sales, Information Security, Customer Success, Procurement, and Operations), and experience leveraging technology, including AI tools, to streamline legal processes and decision-making. More importantly we are looking for a person with a positive can-do attitude that is comfortable with ambiguity and creating processes and systems from scratch. Key Responsibilities - Review, draft, and negotiate a variety of commercial agreements, including SaaS, Channel, vendor, and privacy contracts. - Collaborate with Sales, Information Security, Procurement, and other departments to align legal strategies with business objectives. - Triage and track the end-to-end contract lifecycle: intake, negotiation, execution, archiving, and reporting via the legal alias inboxes. - Maintain and enforce legal processes to ensure consistency, efficiency, and compliance. - Act with urgency to meet month-end, quarter-end, and year-end business deadlines. - Lead strategic initiatives, including the selection and implementation of the company’s first Contract Lifecycle Management (CLM) system and other technology-driven improvements. - Manage ad hoc legal projects and support broader legal team initiatives. - Develop and maintain training materials for onboarding cross-functional teams (e.g., Sales, CS, etc.). Qualifications - Juris Doctor (JD) degree from an accredited law school; active bar membership in good standing. - 5+ years of experience practicing law, with at least 2+ years of in-house experience. - Expertise in commercial contracting and corporate law; experience in SaaS or technology sector strongly preferred. - Familiarity with data privacy, intellectual property, and regulatory issues, including those relevant to health and student data (e.g., HIPAA, FERPA, GDPR, etc.). - Ability to integrate AI tools into legal workflows (e.g., contract review automation, compliance analytics, knowledge management). - Excellent communication, negotiation, and project management skills. - Strong problem-solving orientation with the ability to work independently in a fast-paced, deadline-driven environment. - Positive, proactive mindset with comfort managing ambiguity and building processes from the ground up.
