Role Description The Director, Corporate and Securities reports to the Executive Director, Corporate and Securities, and is a key member of the team for the Legal department. The Director will provide leadership on a wide range of corporate, securities, and governance matters. Responsibilities include: - All securities matters for a publicly traded company, including ensuring compliance with SEC and Nasdaq rules and regulations. - Preparing and reviewing SEC filings. - Assisting with matters related to the board of directors. - Advising on corporate governance, investor relations, and executive compensation. Qualifications - Juris Doctorate (J.D.) from accredited law school; licensed to practice law in the U.S. - Membership in good standing in a state bar with no prior suspensions or disciplinary history. - Minimum 7 years of combined experience in-house and/or with a law firm; experience with a biotech or pharmaceutical company preferred. • Oversee day-to-day employment-based immigration matters, ensuring seamless continuation of existing processes • Manage active caseloads for in-house filings, including H-1B, L-1, O-1, PERM, and I-140, as well as global work authorization cases • Ensure timely processing and adherence to established SLAs, timelines, and compliance requirements • Maintain compliance with U.S. and global immigration laws and support audit readiness (e.g., I-9, LCA compliance) • Partner with HR, Talent Acquisition, People Operations, and external counsel to deliver high-quality immigration support and maintain progress on ongoing initiatives

• Researching laws and preparing legal briefs, opinions, and memoranda • Rendering opinions on liability, damages, and value as requested by the Claims Department • Preparing and handling pleadings, motions, and discovery, to include depositions/examinations before trial and examinations under oath, and defending by trial or dispositive hearing, all matters assigned, as applicable
