• Partner with the General Counsel and outside counsel to structure and negotiate private company financing transactions, including venture capital rounds, private equity investments, and debt facilities. • Assist in preparing the company for strategic growth initiatives, including potential mergers and acquisitions. • Support public company readiness efforts as applicable. • Oversee and manage the company’s capitalization table and equity incentive plans. • Maintain accurate equity records and support equity administration using Carta. • Assist the General Counsel in maintaining corporate governance records and documentation. • Draft board resolutions and support board of directors and shareholder meetings. • Maintain corporate records and ensure compliance with corporate governance requirements.
Job Requirements
- J.D. from an accredited law school.
- Active membership in good standing with at least one U.S. state bar.
- 4+ years of corporate law experience.
- Demonstrated experience structuring, drafting, and negotiating private company financing transactions.
- Strong working knowledge of equity management platforms, particularly Carta.
- Ability to operate effectively in a fast-paced, high-growth environment.
- Strong communication and cross-functional collaboration skills.
