Corporate Counsel

• Negotiate, draft, and review a wide range of government and commercial contracts, including technology development, manufacturing, supply, SaaS, and professional services agreements. • Provide expert guidance on Federal, State, and Local government contracting, including compliance with FAR, DFARS, and related procurement regulations. • Support proposal development, RFP responses, and subcontract management across both defense and commercial programs and in domestic and international markets. • Advise on intellectual property, data rights, export controls (ITAR/EAR), and other regulatory frameworks relevant to aerospace and defense transactions. • Partner with sales, supply chain, engineering, and program management teams to drive business growth while managing contractual and regulatory risks. • Develop and refine contract templates, playbooks, and training materials to support scalable business practices. • Act as a strategic legal partner, providing practical advice that balances compliance with business agility.
Job Requirements
- Juris Doctor (J.D.) from an accredited U.S. law school and active bar membership in at least one U.S. jurisdiction.
- A minimum of 7 years of relevant legal experience, including 5+ years focused on U.S. Federal and defense contracting, preferably combined with commercial transaction experience.
- Deep understanding of FAR, DFARS, and other public procurement frameworks.
- Experience supporting dual-use or mixed commercial and government contracting portfolios in the aerospace, defense, or advanced technology sectors.
- Proven ability to negotiate complex agreements, including teaming, licensing, and manufacturing arrangements.
- U.S. Person status required due to the nature of the work.
