Senior Lead Counsel, Commercial
CrowdStrike
• Lead negotiations on a variety of commercial agreements, including SaaS licensing agreements, Master Purchasing Agreements, DPAs, Service Agreements and more. • Collaborate closely with the sales, finance, security and other internal stakeholders to ensure alignment on deal terms and business objectives. • Provide strategic legal advice and counsel on complex commercial transactions, identifying and mitigating potential risks while maximizing business opportunities. • Draft, review, and negotiate a broad range of legal documents and contracts with a focus on balancing business needs with legal protections. • Develop and maintain strong relationships with key stakeholders, acting as a trusted legal advisor and partner. • Stay abreast of industry trends, legal developments, and regulatory changes that may impact the company’s commercial operations. • Assist in the development and implementation of best practices and standardized templates for contracts and other legal documents. • Mentor and provide guidance to junior legal team members as needed.
Job Requirements
- Juris Doctorate (J.D.) degree from an accredited U.S. Law School and active admission to a State Bar
- 10+ years of experience drafting and negotiating a wide range of commercial contracts, with an emphasis on software licensing for cloud-based providers and supporting complex indirect sales deals
- Proven track record of successfully negotiating and closing complex commercial deals involving data privacy and data security documents
- Strong drafting and negotiation skills along with excellent business judgment and critical thinking skills
- Ability to collaborate with legal and non-legal colleagues and manage multiple competing priorities in a fast-paced environment with a “roll up your sleeves”, team-oriented mentality
- Excellent interpersonal, verbal and written communication skills.
