Summary This position will be based in one of InterDigital’s US East Coast offices (Conshohocken PA, Melville, NY or Manhattan, NY). We are seeking an attorney with experience in technology transactions and intellectual property matters. This position will report to an Assistant General Counsel and be responsible for, among other things, drafting, review and negotiation related to university and third-party research agreements and support the research department and the IS department in their day-to-day operations Responsibilities The position incumbent will be responsible for carrying out the following functions and tasks: - Provide legal support to the Research & Innovation (R&I) Group on commercial issues as required, for functions in North America and elsewhere in the world as needed, including responsibility for the full lifecycle of contract review, negotiation, and approval of agreements; - Provide legal support to the Information Services (IS) Group as required, relating to software and hardware acquisition and other IS-related matters, including responsibility for the full lifecycle of contract review, negotiation, and approval of agreements; - Contribute to AI adoption and regulation in the company by providing guidance and training; - Provide legal support to the Marketing and Communications Group through legal review of certain technical materials including press releases, white papers and presentations; - Serve on ESG working group, with primary responsibility for governance matters and coordinating with cross-functional team on broader sustainability disclosures; - Provide legal support for Trademarks and Service Marks, including working with outside counsel to prosecute marks, working with Marketing and Communications to manage the trademark portfolio including adding new and deleting abandoned marks, and providing training as appropriate to company personnel regarding use of marks; - Provide legal support in relation to projects and/or agreements entered into by the Company with state or federal governments, including compliance with FARS and DFARS, and providing training as appropriate to company personnel regarding regulations and obligations related thereto; - Provide legal support to Company related to Export Control issues globally, including EAR and ITAR compliance, conducting annual classification review of research and technology projects, and providing training as appropriate to company personnel regarding regulations and obligations related thereto; - Manage special compliance projects on an as-needed basis; work with cross-functional teams, including IS, Finance, & R&I; - Schedule, conduct and/or supervise employee training on certain compliance requirements generally and specific topics as needed, but no less than annually; - Travel as required to perform tasks described above; and - Such other duties and responsibilities as may be assigned. Qualifications - A minimum of 3 to 5 years of experience in a law firm or a company having a significant research activity - Law degree from top-tier law school - Current state bar membership - Experience managing the full lifecycle of IP-related agreements (drafting, review and negotiation) - Working knowledge of U.S. federal contracting regulations (FAR, DFARS) preferred but not required - Ability to set and manage expectations across multiple stakeholders and to explain complex legal concepts in clear, plain English - Practical, solutions-oriented approach - Eagerness to learn new areas, including curiosity for technical matters - Experience in ESG preferred but not required Location: Conshohocken, PA, New York, NY or Melville, NY - Hybrid role - 3 days a week in the office required. The Role This is a litigation-heavy, operations-oriented role focused primarily on unlawful detainer matters, with additional responsibility for advising on tenant-law issues and supervising offshore legal and paralegal staff.
