Role Description Draft, negotiate, and review of commercial transactions, contracts and agreements; providing counsel regarding interpretation of active contracts, and handling contractual dispute resolution. Qualifications - Juris Doctorate required. - At least 3 years of experience in a law firm (preferably Am Law 100 firm) or as an in-house corporate attorney. - Ability to work effectively within a demanding, deadline-driven environment. - Experience with information privacy laws, HIPAA, PHI, BAA and related agreements and information privacy laws preferred. - Knowledge of employment law a plus. - Proficiency in the use of Microsoft Word, PowerPoint and Excel is required. - Project Management experience preferred. - Excellent written and verbal communication and interpersonal skills and the ability to work independently or as a member of a team required. - Travel up to 10%. Requirements - The national pay rate range for this job position is $132,020 to $200,240. - Actual compensation is influenced by a variety of relevant factors including but not limited to applicant’s skills, prior experience, qualifications, degrees, professional certifications, work arrangements and geographic location. - The pay rate in California is: $134,960-$177,120. • Manage a team of high-performing transactional attorneys who negotiate complex commercial contracts, with a particular focus on customer contracts, including SaaS, licensing, and services agreements. • Act as a partner to Sales, Finance, Marketing, Product, and Customer Success, partnering closely to support revenue growth while managing legal risk. • Identify and address potential legal and business risks in contracts. • Strategize and partner with Legal Operations to create and operationalize agreement templates (MSAs, licensing agreements, etc.) and internal enablement documents (playbooks, FAQs, one-pagers, etc.). • Review contract terms and conditions to verify that they are in compliance with company policies and any applicable federal and state regulations. • Clearly explain contract terminology to customers and other interested parties in simple, everyday language. • Collaborate comfortably and be enthusiastic about partnering in initiatives that influence all aspects of the business and require working with individuals throughout the company.

Role Description This non-permanent, independent contractor counsel is responsible for the preparation of Request for Proposal responses, the negotiation, interpretation and/or administration of contracts, subcontracts and licensing agreements. Key responsibilities include: - Draft, review, edit, finalize and negotiate routine transactional agreements to meet business and legal requirements, including: - Direct and indirect sales/supply and reseller/distribution agreements - End user license agreements - Services agreements - Statements of work (SOWs) - Telecom agreements - Maintenance agreements - Consulting and advisory agreements - Outsourcing and other technology agreements - Manage contract documentation/approval flows to ensure consistency with internal processes. - Assist with contract disputes, including understanding the issues, researching and providing guidance on solutions, drafting settlement agreements. - Research and respond to general legal inquiries from the business that may relate to contract disputes, regulatory issues, and new business initiatives. - Provide counsel and guidance for the accomplishment of overall business objectives while fully complying with applicable laws and regulations. - Maintain, revise and/or update contract templates, playbooks, and negotiation precedent materials. - Conduct flow-down clause reviews and identify potentially non-commercial, high-risk, or non-applicable FAR/DFARS and/or related contract clauses for legal review. Qualifications - Requires a Juris Doctor Degree. - Admission to the Bar of at least one state is required. - 4+ years of experience with public sector and/or government contracting law, corporate transactional, contract negotiations and/or commercial transactional experience, preferably with a background in technology matters. - Strong understanding of the FAR, DFARS, or related regulations. - Experience reviewing contracts with government agencies or prime contractors. - Experience advising technology companies in highly regulated markets. - Experience working with legal policies and procedures and demonstrated ability to identify potential legal issues. - Strong negotiation, consultation, and analytical skills. - Excellent problem-solving skills, sound judgment and decision-making skills. - Strong interpersonal, presentation and communication skills (including written and verbal). - Ability to participate and collaborate in meetings with customers, vendors, attorneys, management, and other third parties. - Well organized, detail oriented and adept in a fast-paced environment. - Required to work with the highest level of ethics and discretion. • Serve as a strategic business partner and advisor to the Sports Medicine Business Unit. • Effectively communicate with leadership at all levels of the organization, bringing in feedback and gaining alignment from a wide range of functions • Provide timely analysis and counsel on a diverse range of legal issues • Independently draft, review, negotiate, and advise on a variety of agreements (e.g., sales, services, supply, distribution, consulting, clinical study, non-disclosure, employment, and other commercial arrangements) • Analyze and provide clear and concise guidance on laws, rules, regulations, and Stryker policies as necessary, including with respect to the company’s interactions with healthcare professionals • Collaborate with lawyers and other professionals from Stryker’s Centers of Expertise to manage a variety of significant matters (e.g., strategic contracting, data privacy and security, intellectual property, litigation, employment, and regulatory matters) • Provide pragmatic and business-relevant assessments of legal risk and exhibit the ability to effectively communicate legal risk to non-legal professionals • Exercise excellent judgment in identifying and escalating issues to management • Support the overall objectives of the Sports Medicine Business Unit and Enterprise Governance Department • Collaborate and communicate with colleagues, management, business partners, and outside counsel • Assist on other matters as needed
