Mainspring Energy
• Provide thoughtful, risk-balanced, and business-minded advice to internal stakeholders on a wide range of complex contracts, such as equipment and project sale agreements, operation and maintenance contracts, development services agreements, EPC Agreements, financed offerings, and various supporting agreements • Work closely with stakeholders across the company to architect and refine contract forms, templates, and playbooks, as well as scalable processes to support these tools • Partner deeply with Sales, Finance, Project Delivery, Operations and other teams to drive execution of high-stakes commercial agreements • Lead end-to-end contract negotiations for various commercial agreements with customers in the commercial and industrial, data center, governmental, and utility sectors, balancing legal protection with business velocity • Develop and deliver training and other materials to elevate the legal IQ of the organization on contract terms and other legal issues
Job Requirements
- JD degree and admitted to practice in the U.S
- Minimum 8 years of transactional experience (ideally a combination of) global law firm and/or in-house legal department experience, with a mastery of contract drafting and negotiating
- Technical Proficiency: Experience with contract management systems and a desire to optimize legal tech stacks and workflows.
- Executive Presence: Experience serving as a trusted business partner to senior leaders
- Domain Expertise: Comprehensive understanding of complex capital purchase and financed commercial transactions, operation and maintenance agreements, and a strong grasp of the interrelatedness of deal contracts
