• Collaborate with executives and partners in Finance, Accounting, Investor Relations, and teams across Yelp to draft clear and accurate public disclosures. • Help shape Board and committee agendas and take part in committee meetings. • Draft, update, and maintain corporate governance policies. • Team up with Investor Relations and Public Relations on shareholder communications. • Streamline and improve processes to ensure timely, efficient public company reporting. • Lead the legal side of M&A transactions and negotiate deal documents. • Support our stock administration team with equity plans, trading windows, 10b5-1 plans, and related matters. • Stay on top of changes in the legal landscape, flag risks, and recommend practical solutions. • Work closely with outside counsel on a range of high-impact matters.
Job Requirements
- Juris Doctor (JD) and active state bar membership in good standing
- 4+ years of corporate legal experience with a focus on public company securities law and SEC reporting
- Deep understanding of SEC rules, regulations, and forms
- In-house experience is a plus
- M&A experience is a plus
- Strong work ethic, sound judgment, and a team-first mentality
- Can-do attitude and willingness to dive into the details
- Proven success working cross-functionally with a wide range of teams
- Ability to break down complex legal requirements and provide practical, business-minded advice
- Excellent legal and business judgment, with a creative approach to problem-solving
- Outstanding written and verbal communication skills, with a keen eye for detail and organization.
