• Draft, review, and prepare first-pass redlines for commercial contracts, including health plan service agreements, provider network and participation agreements, vendor contracts, and data use and business associate agreements • Identify and flag key issues, unusual terms, and risk areas for attorney review • Support negotiations by preparing comparison charts, tracking open issues, and maintaining version control across deal threads • Serve as a responsive point of contact for the sales team on routine contract questions and status updates • Manage and maintain the contract lifecycle in SpotDraft: intake workflows, template libraries, clause banks, approval routing, renewal tracking, and reporting • Maintain and refine the contract obligations inventory, including key dates, notice requirements, and renewal terms • Support and execute the legal intake process through Jira • Build playbooks, FAQs, and self-service resources that reduce repetitive questions and let the business move faster • Spot inefficiencies and fix them; we're always looking for ways to do things better • Maintain corporate records, entity documents, resolutions, and governance materials for the parent company and subsidiaries • Handle corporate housekeeping: annual filings, registered agent coordination, minute book maintenance • Support subsidiary management and entity compliance as needed • Partner with business teams to gather deal terms and ensure contracts reflect commercial intent • Coordinate with compliance on regulatory research, policy updates, and documentation • Create and maintain training materials that help business teams participate in the contracting process • Monitor regulatory developments relevant to Stellar's contracts and flag what matters • Manage document flow, scheduling, and information exchange for outside counsel engagements • Track outside counsel spend and flag budget variances
Job Requirements
- 5+ years of paralegal experience with substantial commercial contract drafting
- Healthcare industry experience, ideally including payor contracts, provider agreements, or value-based care
- Thorough understanding of HIPAA
- Working familiarity with AKS, Stark Law, and healthcare data privacy requirements
- Ability to work autonomously in a fast-paced environment
- Excellent organizational skills and attention to detail
- Strong written and verbal communication skills
- Paralegal certificate or equivalent training

Role Description The Corporate Paralegal will support the Legal Department in managing corporate governance, entity maintenance, documentation, and compliance for our U.S. and international subsidiaries.
