• Draft and prepare corporate legal documents, including board and shareholder resolutions, minutes, powers of attorney, officer certificates, and corporate authorizations. • Maintain and update minute books, corporate records, statutory registers, and organizational charts for U.S. and foreign entities. • Ensure accurate and up-to-date entity information within internal systems. • Coordinate annual filings, state registrations, incorporations, dissolutions, amendments, and other corporate changes across multiple jurisdictions. • Liaise with corporate agents, law firms, and government registries to ensure timely and compliant filings. • Manage the execution, notarization, apostille, and legalization of documents where required. • Support corporate compliance efforts, audits, due diligence, financing, and M&A-related activities. • Coordinate signatures and facilitate document circulation and approval workflows. • Assist Legal Counsel with legal research, document organization, and preparation of reports or internal summaries.
Job Requirements
- Diploma/Certificate in Paralegal Studies or equivalent professional experience.
- 2+ years of experience in corporate law, legal operations, or in-house legal support.
- Strong knowledge corporate governance, entity maintenance, and multi-state filings.
- Excellent drafting skills, organization, and meticulous attention to detail.
- Proficiency in Microsoft Office and legal/document management tools.
- Experience working with multinational entities (e.g., Canada, Europe, Middle East, APAC).
- Experience in technology, SaaS, or private-equity-backed organizations.
- Bilingual (English/French) considered an asset.

Role Description The Corporate Paralegal will support the Legal Department in managing corporate governance, entity maintenance, documentation, and compliance for our U.S. and international subsidiaries.
