Corporate Paralegal – In-House

• Draft and prepare corporate legal documents, including board and shareholder resolutions, minutes, powers of attorney, officers' certificates, and corporate authorizations. • Maintain minute books, corporate records, statutory registers, and organizational charts for U.S. and foreign entities. • Ensure the accuracy and currency of entity information in internal systems. • Coordinate annual filings, state registrations, incorporations, dissolutions, amendments, and other corporate changes across multiple jurisdictions. • Liaise with corporate agents, law firms, and government registries to ensure compliant and timely filings. • Manage signing, notarization, apostille, and legalization of documents when required. • Support corporate compliance efforts, audits, due diligence, financing, and M&A-related activities. • Coordinate signatures and facilitate document circulation and approval processes. • Assist legal counsel with legal research, document organization, and the preparation of internal reports or summaries.
Job Requirements
- Diploma or certificate in paralegal studies (parajuridical) or equivalent professional experience.
- More than 2 years of experience in corporate law, legal operations, or in-house legal support.
- Strong knowledge of corporate governance, entity maintenance, and multi-state filings.
- Excellent drafting skills, organizational abilities, and a meticulous attention to detail.
- Proficiency in Microsoft Office and document and legal management tools.
