Role Description As Corporate Counsel at Modigent, you will provide high-impact in-house legal support across our national platform of HVAC, plumbing, and mechanical services companies. Reporting directly to the Chief Legal Officer, you will focus on: - Contract drafting and negotiation - Construction claims resolution - Practical day-to-day legal advisory services You will serve as a trusted business partner to executive leadership and operating company teams, supporting acquisitions and integrations while delivering actionable guidance that enables business growth and operational excellence. Duties and Responsibilities - Draft, review, redline, and negotiate various contracts including prime contracts, master service agreements, subcontracts, and vendor/supplier contracts. - Advise on contract interpretation, risk allocation, indemnity, insurance requirements, and dispute resolution provisions. - Support the development and maintenance of standard contract templates and playbooks tailored to Modigent’s operations. - Manage and resolve construction claims and disputes, collaborating with operations, insurance carriers, sureties, and outside counsel. - Provide practical legal guidance on commercial agreements and operational matters. - Review and negotiate other commercial contracts, including office leases and SaaS agreements. - Support corporate transactions including acquisitions, integration of new operating companies, and joint ventures. - Assist with corporate governance matters such as licensing and Secretary of State filings. - Help develop and deliver training on contract-related topics.
