• Review, draft, and negotiate prospective customer, partner/alliance, and vendor contracts (including network service agreements, SOWs, and partnership agreements) with an eye toward balancing business objectives with legal risk. • Assess proposed contract terms against established and evolving company parameters; make clear, timely recommendations on what is and isn’t viable, consulting with external counsel where appropriate. • Collaborate with internal teams across sales, contracts, and finance to support pre-sales processes, ensuring timely review and feedback of contract terms, adjustments, and final negotiations with new partners. • Partner with internal medical team to ensure contracts and any negotiated terms reflect the boundaries of delivering telehealth services across multiple jurisdictions in the US. • Conduct and oversee due diligence and ongoing monitoring of prospective and existing customers, partners, and vendors, including background checks, on potential new partners to evaluate legal, regulatory, reputational, and financial risks. • Advise internal executive team on risk analysis, outlook and viability of prospective partners. • Lead and manage the search for relevant technologies to aid in the ongoing compliance and management of contract administration with a focus on creating visibility, efficiency, compliance and cross-functional alignment. • Contribute to building and refining contract playbooks, standard templates, and scalable review processes to enable sales and success teams. • Stay informed of regulatory and industry developments impacting telehealth and digital health, including state-by-state licensing and privacy considerations.

Job Requirements

  • Juris Doctor (J.D.) degree from an accredited law school and active membership in good standing with the relevant State Bar.
  • 3+ years of experience practicing law in an internationally/nationally-recognized law firm or in-house legal department (a mix of law firm and in-house experience is strongly preferred).
  • Experience in healthcare, health tech, telemedicine/telehealth, or SaaS is a strong plus.
  • Strong foundation in independently reviewing and negotiating commercial contracts, working with in-house medical, prospects and customers to achieve compliant, business-centered review.
  • Demonstrated success in working in a fast-paced environment, including delivering high-quality work under tight deadlines.
  • Experience sourcing and implementing technology solutions to increase collaboration, visibility and compliant management of the function, such as contract lifecycle management systems.
  • Experience managing the full customer, vendor, and partner background check process to ensure compliance and risk mitigation.
  • Awareness of legal considerations unique to telehealth delivery, such as state licensure, provider agreements, privacy (HIPAA), and data security.
  • Exceptional judgment and ability to balance legal risk with practical, business-oriented solutions.
  • Strong communication skills, both written and verbal; ability to translate legal concepts into actionable advice.
  • A proactive, collaborative mindset and comfort working in a high-growth, fast-changing environment.

Title: VP, Corporate Counsel Location: Seattle, WA Fleet Seattle, WA Denver, CO Department: Fleet Job Description: Fleet Data Centers is seeking a senior-level business-minded VP, Corporate Counsel to provide legal guidance and support for data center leasing transactions with hyperscalers. This role will also support general corporate, governance and transactional matters, including joint ventures with our sister portfolio company. This is a high-impact, hands-on role for an attorney who can operate independently in a fast-paced environment with seasoned counterparties, draft and negotiate contracts, manage outside counsel efficiently, and collaborate across the business to drive projects to execution. You’ll sit at the center of the company’s most strategic customer relationships and help shape the contracting engine for a high-growth, world-class data center developer. How will you make a difference? - Provide legal expertise for drafting and negotiations of data center agreements (hyperscale and enterprise data center leases, service agreements, change order forms, etc.). - Support deal structuring on critical terms including joint venture and land purchase agreements, as well as leasing terms including remedies, force majeure, change of control, security/audit rights, insurance, waiver of subrogation, indemnification and confidentiality provisions. - Partner cross-functionally across the enterprise, including with the Commercial Management team, to support all customer matters and align legal positions with delivery realities and business strategy. - Draft and negotiate related agreements (MSAs, ancillary site/customer documents, LOIs/terms sheets, NDAs, as needed). - Build scalable legal infrastructure: templates, playbooks, clause library, fallback positions, approval matrix, and negotiation process to improve speed and consistency. - Manage outside counsel with discipline: scoping, supervision, budgets, and practical deliverables. - Take on additional high-priority legal work as needed to help stand up a high-functioning, lean Legal Department (e.g., compliance and risk management activities, key vendor and operations agreements).
