Senior Corporate Paralegal

• Reporting to the VP & Deputy General Counsel, you will support a range of corporate legal matters. • You will also work closely with the Chief Legal Officer and Corporate Secretary on corporate governance matters. • Support the preparation and organization of materials for Board and Committee meetings. • Manage the preparation and maintenance of corporate documents, including legal entity management for all corporate affiliates. • Administer legal file management, processing both new and existing files for effective documentation and organization. • Collaborate with in-house and outside counsel, including monitoring of outside counsel spend and billing. • Assist with corporate transactions, including M&A, financing, and other strategic transactions, including participation in and management of due diligence projects. • Help facilitate the execution and management of various legal documents, including executive compensation documents, non-disclosure agreements (NDAs), letters of intent (LOIs), and other corporate agreements. • Help manage the enterprise risk management program, including annual renewal of insurance policies and claim submission. • Support the VP & Deputy General Counsel and other members of the LCCA on other matters as needed, including issues related to litigation, human resources, and corporate development. • Ability to contribute different thoughts, ideas and viewpoints that lead to greater innovation on projects and cross-functional collaborative efforts.
Job Requirements
- A minimum of 5 years of experience as a corporate paralegal, with at least 3 years of in-house experience.
- Experience preparing and maintaining various corporate documents in an in-house corporate environment.
- Familiarity with mergers & acquisitions and/or strategic corporate transactions, including support of overall due diligence.
- Proficiency with Microsoft Office Suite and Adobe.
- Ability to simultaneously manage and prioritize a significant number of projects and clients.
- Ability to communicate effectively in writing and in person to all levels of the business, including senior management.
- Ability to be nimble and adaptable to a variety of questions and concerns.
- Hard working, high integrity, well organized and a self-motivated team player who can work independently, manage and prioritize requests, and oversee and improve complex business and legal processes under time pressures and deadlines in a fast-paced environment.
- Excellent interpersonal, communication, and presentation skills (oral and written communication).
- Excellent academic credentials, including a bachelor’s degree or paralegal certificate.
