Role Description The Assistant General Counsel (AGC) serves as a senior member of the Legal & Compliance function, providing broad-based legal counsel to the organization across commercial, transactional, litigation, and regulatory matters. Reporting to the CFO, the AGC partners closely with business leaders across the enterprise to identify legal risk, protect corporate interests, and enable strategic growth. This is a high-visibility, high-impact role for a sophisticated attorney who thrives in a dynamic, fast-paced, fully remote, globally distributed, private-equity backed company environment and can operate with significant autonomy while functioning as a trusted advisor to senior leadership. Duties and responsibilities - Commercial & Contract Management - Draft, review, and negotiate a broad range of commercial agreements including SaaS agreements, data privacy agreements, partnership agreements, and vendor contracts, NDAs. - Develop and maintain contract templates, playbooks, and standard terms to improve contracting speed and consistency. - Advise business units on contract risk and deal structuring in a pragmatic, business-friendly manner. - General Legal Support - Provide day-to-day legal guidance to business partners across Finance, HR, Operations, Sales, and Product. - Manage and optimize outside counsel engagements and legal spend. - Assist with IP portfolio management, including trademark filings, licensing, and enforcement matters. - Support the CFO with Board and executive-level communications and presentations. - Manage pre-litigation matters and disputes. - Regulatory & Compliance - Monitor the evolving regulatory landscape relevant to the company's industry and proactively advise on emerging legal requirements. - Support the development, implementation, and training related to corporate compliance programs, policies, and procedures. - Ensure compliance with applicable federal, state, and local laws including data privacy (e.g., CCPA, GDPR), employment, AI, and industry-specific regulations. - Assist with corporate governance matters including Board preparation, subsidiary maintenance, and entity management. - Mergers & Acquisitions - Support M&A transactions from letter of intent through closing, including due diligence coordination, purchase agreement review and negotiation, and post-close integration. - Work with advisors, outside counsel, and internal stakeholders to manage transaction timelines and workstreams. - Identify and escalate legal, regulatory, and reputational risks associated with prospective acquisitions or divestitures. Qualifications - J.D. from an ABA-accredited law school (or foreign equivalent); active bar membership in good standing. - Minimum 6 years of legal experience, with a combination of law firm and in-house counsel experience. - Demonstrated experience across commercial contracting with global fortune 1000 companies, non-profits, and public sector clients. - Experience with data privacy law and compliance programs (CCPA, GDPR). - Strong working knowledge of corporate and commercial law, regulatory compliance, and risk management principles. - Excellent written and oral communication skills; ability to translate complex legal concepts into clear business guidance. - Proven ability to manage multiple competing priorities in a fast-paced environment with minimal oversight. - High degree of professional integrity, sound judgment, and collaborative working style. Hands-on approach. Requirements - Experience supporting private equity-backed or high-growth private companies. - Familiarity with cybersecurity. - M&A experience. - Exposure to employment law matters and HR-adjacent legal issues. Role Description PartnerOne is seeking a Corporate Counsel to support commercial contracting across select portfolio companies. This is a full-time role focused on negotiating enterprise software transactions in a fast-paced commercial environment. The Corporate Counsel will work closely with sales and business leaders to support customer and partner transactions. The role requires a practical, business-oriented lawyer who can help drive efficient deal execution while managing legal risk and advising internal stakeholders.
