Role Description We’re hiring a Vice President, Corporate Development, Debt Capital Markets to lead strategic growth initiatives, capital formation, and transaction execution across the digital infrastructure sector. This role will work closely with executive leadership, investors, lenders, and operational teams to evaluate and execute M&A opportunities, support financing transactions and capital raises, and advance corporate development priorities across the business. You’ll operate at the intersection of strategy, finance, and execution, partnering across finance, operations, legal, and technical teams to assess commercial opportunities and investment risk. This is a high-impact role for someone who combines deep digital infrastructure market knowledge with strong financial and strategic judgment. Your work will directly support Nscale’s long-term growth strategy, capital deployment objectives, and expansion across key areas including data centres, AI infrastructure, cloud infrastructure, fibre, networking, and adjacent digital infrastructure sectors. What You’ll be Doing - Lead strategic analysis and execution across mergers and acquisitions, financing activities, capital raises, and corporate development initiatives. - Support the structuring and execution of debt facilities, equity raises, refinancing initiatives, and strategic capital partnerships. - Assist in negotiating transaction terms, financing structures, and strategic partnership agreements. - Interface directly with investment banks, private equity firms, lenders, institutional investors, and external advisors. - Build and maintain sophisticated financial models related to infrastructure investments, debt and equity financings, and project finance structures. - Develop revenue forecasts, valuation models, scenario analyses, and return and sensitivity modelling. - Evaluate capital structures and investment dynamics to inform strategic and financing decisions. - Assess the financial attractiveness of acquisitions, strategic investments, and expansion opportunities. - Evaluate acquisition opportunities, joint ventures, strategic investments, and platform expansion opportunities within digital infrastructure markets. - Conduct market analysis and competitive assessments across data centres, AI infrastructure, cloud infrastructure, fibre, networking, and adjacent sectors. - Support long-range corporate strategy planning and capital allocation initiatives. - Identify commercial opportunities and investment risks in technology-driven and infrastructure-focused environments. - Coordinate due diligence processes across financial, operational, strategic, and technical workstreams. - Partner closely with finance, operations, legal, and technical teams to evaluate opportunities and execution considerations. - Develop investment materials, board presentations, lender materials, and investor communications. - Synthesise complex financial and strategic information for senior executives and external stakeholders. Qualifications - 15+ years of experience in investment banking, infrastructure advisory, private equity, corporate strategy, infrastructure investing, or strategic finance. - Strong exposure to digital infrastructure sectors including data centres, AI / GPU infrastructure, cloud infrastructure, fibre and connectivity, telecom infrastructure, and power and energy infrastructure supporting compute environments. - Advanced financial modelling and valuation skills, with the ability to build sophisticated operating and transaction models from scratch. - Significant experience supporting or executing M&A transactions, debt financings, equity raises, refinancings, and structured financing transactions. - Strong understanding of capital structures, infrastructure investment dynamics, and institutional financing markets. - Experience operating in high-performance environments such as investment banking, private equity, infrastructure funds, or fast-scaling infrastructure companies. - Excellent communication and presentation skills with the ability to engage senior executives, investors, lenders, and financing counterparties. - Strong commercial judgment and strategic instincts in technology-driven and infrastructure-focused environments. - Ability to operate independently in fast-paced, transaction-oriented environments while managing multiple high-priority initiatives simultaneously. Nice to Have - MBA, CFA, or equivalent financial qualification. - Experience operating in or advising fast-scaling AI infrastructure, cloud infrastructure, data centre, telecom, or power-intensive compute businesses. - Experience working directly with board members, lenders, institutional investors, and strategic capital partners.
