Role Description We’re hiring a VP, Corporate Strategy, Transaction Advisory to lead how Nscale evaluates strategic capital raises, infrastructure investments, M&A opportunities, financing transactions, and large-scale technology programmes before major capital decisions are made. This is a senior, high-impact role at the intersection of technical diligence, infrastructure engineering, investment strategy, and commercial evaluation. You will act as a trusted executive advisor across engineering, infrastructure, operations, finance, legal, corporate strategy, and investment teams, bringing independent judgement to whether complex AI infrastructure programmes are technically feasible, commercially sound, operationally resilient, and ready for capital commitment. Your work will shape how Nscale assesses execution risk, downside protection, revenue assurance, SLA feasibility, and operational readiness across critical growth initiatives. You will build the diligence standards, review mechanisms, and executive decision frameworks that help Nscale move quickly while making well-grounded, risk-aware decisions on the infrastructure that powers the future of AI. What You'll be Doing - Lead the transaction advisory and technical diligence agenda across strategic investments, M&A activity, capital raises, infrastructure deployments, financing transactions, and major customer or partner programmes. - Serve as the senior technical-commercial advisor to executive leadership, investors, financing stakeholders, and cross-functional deal teams on infrastructure feasibility, execution risk, and capital readiness. - Assess deployment programmes across data centre design and architecture, GPU infrastructure and cluster design, network architecture, interconnect strategy, capacity planning, resiliency, redundancy, and operating model readiness. - Evaluate power, cooling, supply chain, procurement, implementation schedules, scalability, failover models, and operational dependencies across complex infrastructure programmes. - Validate whether infrastructure and engineering designs can realistically achieve contracted SLAs, utilisation targets, revenue assumptions, performance commitments, and delivery milestones. - Quantify technical risk exposure, downside protection scenarios, recovery paths, operational failure modes, and execution bottlenecks tied to investment structures and commercial commitments. - Challenge engineering assumptions, independently validate deployment claims, and bring disciplined scrutiny to technical plans before capital is deployed. - Partner with finance, legal, infrastructure, engineering, operations, commercial, and investment stakeholders to connect technical findings to valuation, risk allocation, financing terms, customer commitments, and strategic decision-making. - Translate highly technical diligence findings into clear executive-level recommendations, board-ready materials, investment committee inputs, and actionable risk mitigation plans. - Build and continuously improve diligence frameworks, technical review methodologies, risk assessment standards, and governance mechanisms across the organisation. - Support broader corporate strategy initiatives involving AI infrastructure, high-performance compute, cloud, networking, capital allocation, and large-scale technical deployments. - Represent a high bar for judgement, rigour, and accountability in how Nscale evaluates opportunities, commits capital, and scales infrastructure globally. Qualifications - 12+ years of experience across technical consulting, transaction advisory, infrastructure strategy, engineering advisory, technical diligence, corporate strategy, investment diligence, or related fields. - Significant experience leading complex technical and commercial diligence work tied to investments, financings, M&A, infrastructure deployments, or large-scale technology programmes. - Strong understanding of data centre infrastructure, GPU clusters, AI compute environments, high-performance computing, and cloud or hybrid infrastructure. - Strong understanding of networking and interconnect architecture, resiliency and redundancy models, operational performance metrics, and SLA design. - Proven ability to evaluate technical feasibility alongside commercial, financial, legal, and investment implications. - Experience advising senior executives, investors, boards, investment committees, or financing stakeholders on technical risk, execution readiness, and strategic trade-offs. - Ability to challenge engineering assumptions constructively, independently validate deployment claims, and identify risks that may not be visible in standard programme plans. - Excellent executive communication skills, with the ability to turn technical complexity into clear strategic insight, decision options, and recommended actions. - Strong cross-functional leadership skills, with experience operating across infrastructure, engineering, finance, legal, investment, commercial, and operations teams. - High ownership, sound judgement, and the ability to bring structure, pace, and clarity to ambiguous, high-stakes decisions. - Background from a leading technical consulting firm, engineering advisory firm, hyperscaler, infrastructure operator, investor, corporate strategy team, or transaction advisory environment strongly preferred. Nice to Have - Experience with AI infrastructure, GPU cloud, hyperscale data centre deployments, high-performance compute, or large-scale network architecture. - Experience supporting capital raises, project finance, structured financing, infrastructure investment, or investor diligence processes. - Exposure to M&A, strategic partnerships, joint ventures, or major customer commitments in cloud, data centre, telecoms, energy, or infrastructure-heavy technology environments. - Experience building diligence playbooks, investment committee materials, executive governance processes, or technical risk frameworks. - Prior experience operating in a high-growth, founder-led, or venture-backed technology company.
