Role Description As Corporate Counsel you will help develop our corporate and securities legal strategy, ensuring our legal approach scales with the company's growth. This is a full time role that can be held from one of our US hubs or remotely in the United States. What you'll do at Figma: - Support the preparation, review, and filing of Figma's SEC reports and other corporate regulatory filings, including quarterly reports, the annual proxy statement, Section 16 filings, and beneficial ownership reports. - Support review of public-facing corporate communications, including earnings materials and investor presentations. - Assist with corporate governance matters, including preparing Board and Committee materials and maintaining and operationalizing public-company policies. - Provide support on equity matters, including 10b5-1 plans and Figma's trading policy. - Build and maintain processes using AI and other tools, such as playbooks, templates, metrics, self-serve tools, and automations, to help improve legal workflows and scale the legal function. - Partner with and provide practical legal advice to other critical stakeholders across accounting, equity, finance, people, and communications. - Provide legal support for transactional and general corporate matters, including financings, strategic transactions, and corporate initiatives as they arise. Qualifications - 4+ years of legal experience at a top tier law firm and in-house legal department; you should have a J.D. and be a current member in good standing of at least one U.S. state bar. - Deep knowledge of corporate and securities laws and SEC reporting requirements. - Excellent interpersonal skills and business judgment, with the ability to distill complex issues and communicate them clearly to stakeholders. - Proactive and adaptable, with the ability to prioritize across multiple projects and recalibrate advice in response to shifting priorities, legal developments, and risk tolerance. - Strong self-awareness around what you know and what you don't know, and a sense of curiosity and desire to learn what you don't. We are expanding our team and seeking a California-licensed Senior Counsel with strong Lemon Law defense experience to represent manufacturers and corporate clients in high-exposure Song-Beverly Consumer Warranty Act and consumer litigation matters across California. - Develop a case theme that is more compelling than any plaintiff ploy for sympathy or anger. - Refuse to accept mediocrity, the average, the standard or the norm in anything. - Independently handle court appearances, depositions, briefs and trials. - Work as part of a team with all levels of experiences. - Routine communications with clients. - Cultivate relationships with the firm’s existing and future clients. - Provide leadership and direction with respect to less experienced attorneys.
