Role Description Avaya is seeking a talented and motivated Corporate Counsel to join its International Legal Team. This role provides a unique opportunity to work across a broad range of legal disciplines, including: - Commercial contracting - Corporate governance - Litigation management - Regulatory matters - Strategic business projects The successful candidate will support business operations across EMEA and, where required, other international regions. Working closely with sales, services, finance, HR, compliance, and senior management teams, the Corporate Counsel will provide practical, business-focused legal advice in a fast-paced multinational technology environment. This position can be based in Poland or Hungary and can be remote or hybrid depending on the location of the candidate. The role reports to the Associate General Counsel EMEA & APAC. Responsibilities - Commercial Contracting: - Draft, review, negotiate and advise on a wide variety of commercial agreements, including customer agreements, partner agreements, cloud and software contracts, professional services agreements, procurement agreements, NDAs and other business arrangements. - Support sales and business teams in contract negotiations and risk assessments. - Provide practical legal advice on contractual rights, obligations and dispute avoidance strategies. - Assist in developing and improving contract templates and legal processes. - Corporate Governance: - Support corporate governance and entity management activities across multiple jurisdictions. - Assist with board and shareholder matters, corporate approvals and maintenance of corporate records. - Support legal entity restructurings, corporate projects and other governance initiatives. - Coordinate with external counsel and corporate service providers as required. - Disputes and Litigation: - Assist in managing disputes, claims and litigation matters. - Coordinate with external counsel and internal stakeholders regarding litigation strategy and case management. - Support internal investigations, evidence preservation and dispute resolution initiatives. - Advise business teams on legal risks and mitigation strategies. - Regulatory and Compliance Support: - Provide support on regulatory, compliance, data privacy and corporate legal matters. - Assist with legal research and analysis of new laws and regulations affecting the business. - Support implementation of corporate policies and compliance programs. - Cross-Functional Projects: - Participate in strategic business initiatives and cross-functional projects. - Support legal process improvements and operational excellence initiatives. - Deliver legal training and guidance to internal stakeholders. Qualifications - Law degree and qualification to practice law in a relevant jurisdiction. - Approximately 3-6 years of post-qualification experience in a law firm and/or multinational corporate legal department. - Strong interest in commercial, corporate and litigation matters. - Excellent contract drafting and negotiation skills. - Strong analytical and problem-solving abilities. - Ability to manage multiple priorities and work independently. - Excellent interpersonal and stakeholder management skills. - Excellent command of written and spoken English. Preferred Qualifications - Experience supporting international or cross-border legal matters. - Experience in the technology, telecommunications, software or SaaS industries. - Exposure to corporate governance and legal entity management. - Experience managing external counsel and litigation matters. - Additional European or Middle Eastern languages are a plus.
