• Serve as the company's primary internal resource for legal, contractual, compliance, and risk-related matters. • Partner with executive leadership on business, operational, and strategic initiatives. • Engage early in client engagements, strategic partnerships, and new business initiatives to identify risks and support sound decision-making. • Assess legal and regulatory risks and develop practical, business-aligned solutions. • Support leadership in evaluating and mitigating legal exposure across the organization. • Coordinate with outside counsel on specialized legal matters as appropriate. • Provide guidance regarding legal and contractual implications of new business models, services, technologies, and strategic initiatives. • Draft, review, negotiate, and manage a broad range of commercial agreements, including retained search agreements, consulting engagement letters, vendor contracts, partnership agreements, and NDAs. • Develop and maintain contract templates, playbooks, standards, and approval workflows. • Advise business leaders regarding contractual obligations, risk allocation, and commercial terms. • Support compliance with off-limits, non-solicitation, exclusivity, confidentiality, and related contractual commitments. • Lead contract lifecycle management processes, including intake, approvals, repository administration, reporting, and governance. • Develop training, reporting, and scalable contracting processes that improve organizational efficiency, risk management, and business performance. • Support Modern's data privacy and information governance program, including compliance with applicable privacy laws and regulations. • Develop and maintain policies related to data handling, retention, confidentiality, and information security. • Advise on AI usage, data governance, intellectual property considerations, and technology-related risks. • Partner with Technology and Operations on vendor agreements, data processing requirements, security assessments, and emerging technology governance. • Support the firm's compliance program and monitor adherence to applicable laws, regulations, and industry requirements. • Maintain corporate governance records and support entity management activities. • Develop and maintain legal, compliance, and operational policies and procedures. • Coordinate compliance training and support regulatory inquiries, audits, and compliance reviews. • Partner with leadership to identify, assess, and mitigate legal, contractual, operational, and regulatory risks. • Coordinate disputes, claims, litigation, and other legal matters with outside counsel as appropriate. • Advise leadership regarding conflicts of interest, off-limits obligations, restrictive covenant issues, candidate ownership concerns, and other risks unique to executive search and leadership advisory services. • Protect and support enforcement of Modern's intellectual property and proprietary assets. • Support insurance, claims management, and organizational risk reporting. • Partner with Human Resources regarding employment-related matters, including employee and independent contractor arrangements. • Review employment agreements, policies, separation agreements, and related documentation. • Support compliance with applicable employment laws and regulations in coordination with outside counsel when appropriate. • Assist with employment-related risk assessments, policy development, and workplace compliance initiatives. • Manage relationships with outside counsel and specialized legal service providers. • Oversee legal budgets and external legal spend. • Coordinate specialized support for litigation, employment matters, regulatory inquiries, intellectual property matters, and international legal issues. • Evaluate external resources to ensure effective and cost-efficient support.

• Lead Litigation End-to-End: Manage cases from intake through trial, including strategy development, discovery, depositions, and settlement negotiations • Advocate in Court: Represent clients in hearings, trials, mediations, and arbitrations with confidence and precision • Client Strategy & Guidance: Advise clients on legal options and develop winning strategies tailored to their cases • Draft & Argue: Prepare persuasive pleadings, motions, and discovery documents • Trial Preparation: Work closely with paralegals and staff on exhibits, witnesses, and trial strategy • Case Evaluation: Analyze liability, damages, and risk to guide case direction • Client Communication: Maintain strong, consistent communication and deliver a high-touch client experience

• Define the long-term product vision, strategy, roadmap, and success metrics for Datavant’s Legal & Insurance vertical. • Translate a complex, fragmented market into a coherent product strategy across requester experience, retrieval workflows, fulfillment, integrations, and record analysis. • Shape the product architecture for a new vertical, including workflows, data models, platform capabilities, partner integrations, and AI-enabled experiences. • Partner with executive leadership to evaluate opportunities, set priorities, guide investment decisions, and align the organization around the highest-impact work. • Build scalable products for attorneys, copy services, insurers, and other requesters across both enterprise and small/mid-sized customer segments. • Work deeply with engineering, data science, analytics, operations, design, and commercial teams to move from strategy to execution. • Identify where operational friction should become product capability, and where custom workflows should become scalable platform patterns. • Develop AI-powered tools that help users extract, summarize, structure, and act on insights from complex medical records. • Establish the metrics, feedback loops, and operating rhythms needed to improve retrieval speed, completeness, transparency, quality, customer satisfaction, and operational efficiency. • Serve as a product thought leader for the vertical and a mentor to other PMs, raising the bar for product strategy, systems thinking, customer insight, and execution.

• Define and drive the product vision, roadmap, and success metrics for the Legal & Insurance Requester Experience. • Build intuitive workflows for request submission, tracking, retrieval, fulfillment, and record analysis. • Partner with UX, CX, and Operations to identify friction in today’s workflows and translate it into scalable product solutions. • Expand retrieval coverage and reliability through aggregator, provider, and partner integrations. • Shape AI-assisted tools that help legal and insurance users extract the insights they need from medical records. • Improve outcomes across speed, completeness, transparency, customer satisfaction, and operational efficiency. • Help turn a newly forming vertical into a durable, differentiated product business for Datavant.
