Job Description Privia Health seeks a Sr. Corporate Counsel to provide support on activities relating to mergers, acquisitions, joint ventures, divestitures and other strategic business initiatives. This position will support the other members of the legal team in complex healthcare transactions, but will also have an opportunity to work autonomously on contract drafting, review, and negotiations. The ideal candidate should be agile and comfortable working in a fast-paced remote environment. Provide legal support of healthcare M&A transactions, including coordination of legal strategy, risk management and due diligence Advise and assist in the negotiation and drafting of transaction agreements, including confidentiality agreements, letters of intent and definitive agreements Work closely with internal stakeholders to review and provide legal support and recommendations on potential business ventures and partnerships Conduct legal research and analysis to support strategy development and ensure compliance with laws and regulations Provide legal support of post-closing integration of acquisitions and joint ventures Assist with legal and regulatory filings Monitor industry trends and changes in laws and regulations to proactively address potential legal issues. Assist in the development and implementation of strategies to mitigate legal risks for the Company. Assist in the management of transaction processes, including process improvements Maintain confidentiality and handle sensitive information with discretion. Communicate complex legal concepts in a clear and concise manner to non-legal team members. Foster and maintain relationships with external legal counsel and advisors Participate in special projects and initiatives to support the overall mission of the Company Other duties as assigned Qualifications
Job Requirements
- J.D Degree from accredited Law School
- At least 3 years engaged in active legal practice with a law firm or in-house; 4+ years relevant experience preferred
- Corporate transaction and contracting experience required
- Healthcare transactional experience preferred
- Ability to work independently as well as coordinate with a team
- Excellent attention to detail
- Ability to maintain a high degree of discretion and confidentiality
- Excellent verbal and written communication skills
- Excellent organization, time management, and problem-solving skills
- Must comply with HIPAA rules and regulations
- The salary range for this role is $165,000.00-$180,000.00 in base pay and exclusive of any bonuses or benefits (medical, dental, vision, life, and pet insurance, 401K, paid time off, and other wellness programs). This role is also eligible for an annual bonus targeted at 20% and restricted stock units. The base pay offered will be determined based on relevant factors such as experience, education, and geographic location.

• Provide management, leadership, strategic direction and oversight for the Legal and Compliance functions and staff. • Proactively identify and provide risk-weighted advice to the business • Keep informed of relevant new legal developments and the evolving regulatory landscape around financial regulations and digital assets applicable to the company’s business - including federal and state laws, regulatory guidelines, SEC reporting, lending, and cryptocurrency - and advise internal clients accordingly. • Partner with others to ensure public company SEC reporting requirements are met. With outside counsel and financial team, prepare and review reports filed with the SEC including disclosures on Forms 10-K, 10-Q, and 8-K, Section 16 reporting and annual proxy statement. • Drafting new and review existing contracts and agreements relating to the companies’ operational activities both internally and externally. • Partner with external subject matters and engage outside counsel as needed, acting as the interface between business teams and external assistance and managing legal assignments and expenses. • Oversee the company’s compliance staff, program, policies, education, procedures and controls to ensure compliance and mitigate risk. • Coordinate with the COO and the Executive team to support corporate governance activities and liaison with the Board of Directors.
