Corning

Role Description This position supports Corning’s Digital & Information Technology organization, with significant responsibility for negotiating and advising on information technology agreements, while also providing counsel on digital, cybersecurity, data governance, and emerging AI-related matters. The role reports to Senior Managing Counsel II, Digital & Information Technology within Corning’s Law Department in the Compliance Center of Excellence. The role works closely with business clients and internal legal colleagues on a broad range of digital and information technology matters, including coordination with Compliance, Intellectual Property, Litigation, and Data Privacy partners as needed. Key Responsibilities - Negotiate, draft, review, and interpret a wide variety of information technology-related agreements, including: - Software licenses - SaaS agreements - Cloud services agreements - Managed services agreements - Professional services agreements - Hardware agreements - Other commercial technology contracts - Advise business clients on legal and commercial terms involving: - Information security - Data use - Intellectual property - Confidentiality - Service levels - Indemnity - Liability allocation - Audit rights - Compliance obligations - Support technology procurement, implementation, and vendor contracting efforts by providing practical legal guidance aligned with business objectives. - Develop, refine, and support contract templates, fallback language, and contracting workflows in collaboration with relevant stakeholder groups. - Provide legal support in connection with software development, implementation, licensing, and related third-party development and services agreements. - Review and advise on contract provisions relating to: - Cybersecurity requirements - Data handling - AI-related terms - Business continuity - Regulatory compliance - Partner with internal stakeholders to support efficient contract review, issue escalation, and resolution of legal and commercial risks in technology transactions. Counseling - Provide legal advice and support on digital and information technology matters, including cybersecurity, data governance, and related operational issues. - Support legal review of cybersecurity incidents, internal response efforts, and related policy or process considerations. - Advise on legal issues associated with the development, deployment, and use of AI-related capabilities in collaboration with internal stakeholders. - Advise on legal issues associated with open source software use and related licensing considerations. - Coordinate with internal partners, including the Data Privacy Office, Compliance, Intellectual Property, and Litigation teams, on legal issues arising from digital and information technology initiatives. - Research and advise on applicable legal and regulatory developments affecting information technology, cybersecurity, data use, and emerging digital capabilities. Qualifications - Strong knowledge of laws, regulations, and best practices related to information technology, cybersecurity, data governance, and related commercial matters. - Strong experience negotiating and drafting technology agreements, including software licenses, SaaS agreements, cloud services agreements, and technology services agreements. - Ability to analyze complex legal issues and provide practical, business-oriented advice. - Sound judgment and the ability to work independently under general guidance while recognizing when escalation is appropriate. - Strong analytical, drafting, negotiation, and issue-spotting skills. - Excellent written and verbal communication skills, including the ability to explain complex legal concepts to non-legal stakeholders. - Ability to work effectively across functions and in a team-based environment. - Interest in emerging legal issues related to AI and digital technologies. Requirements - Juris Doctor (JD) degree from an accredited law school and admission to the bar in the relevant jurisdiction. - 5+ years of experience as a practicing attorney, either with a law firm or in-house. - Strong experience negotiating and drafting commercial technology agreements as a substantial portion of practice. - Experience advising on legal issues involving information technology, cybersecurity, data governance, privacy, or related regulatory matters. - Experience working across multiple stakeholders and legal subject areas in a corporate environment is preferred. Travel & Location - Less than 15% travel required. - This position can be based remotely. - This position does not support immigration sponsorship.
