• Draft, review, and negotiate a variety of commercial agreements, including NDAs, client services agreements, vendor contracts, and partnership agreements. • Provide legal advice and support on regulatory matters, including compliance with financial regulations, data protection laws, and cryptocurrency-specific legislation. • Collaborate with internal teams to develop and implement compliance policies and procedures. • Draft regulatory and law enforcement communications in response to regular requests and correspond with senior attorneys with respect to same. • Monitor and analyze legal and regulatory developments in the finance, fintech, and cryptocurrency space, and advise on their impact on the company’s operations. • Assist in the management of legal risks, including litigation risk, and provide strategic advice to support business objectives. • Liaise with external legal counsel as needed to address complex legal issues. • Support corporate governance matters and ensure adherence to internal policies and standards. • Conduct legal research and provide training to internal stakeholders on relevant legal topics.

• Draft, review, and negotiate the full range of LI.FI's commercial agreements, including API integration agreements, master service (level) agreements, partnership agreements, and term sheets • Review and negotiate vendor and service provider contracts on the procurement side • Manage contract lifecycle from intake through execution, amendment, and renewal, maintaining version control and ensuring executed agreements are properly filed and tracked • Act as the primary legal interface for integration partners and enterprise customers during negotiations, handling multi-round redlines, organising calls with counterparty counsel, and driving deals to close • Work closely with the business development team as the primary legal partner on commercial matters, providing real-time guidance on contractual risk, commercial structuring, and partner onboarding • Assess and allocate risk in commercial terms, including liability caps, indemnification structures, limitation of liability, warranty disclaimers, and governing law/dispute resolution provisions • Develop and maintain LI.FI's standard commercial templates, playbooks, and intake workflows; identify patterns across negotiations, feed improvements back into template language, and build scalable processes • Review and markup counterparty paper and provide clear, commercially pragmatic recommendations to the GC on escalated risk positions • Support regulatory-adjacent commercial work, including the contractual implementation of compliance requirements imposed by regulated integration partners (e.g. vendor due diligence questionnaires, AML representations, regulatory status confirmations) • Coordinate with external counsel on jurisdiction-specific questions that arise during negotiations, particularly on governing law, enforceability, and local regulatory requirements

Role Description As Special Counsel on the Product Legal team, you will provide strategic legal support for the launch and evolution of Arc (the layer-1 blockchain designed by Circle and currently in public testnet) and broader infrastructure initiatives. Reporting to the Assistant General Counsel, Arc, you will: - Advise on the design and operation of the Arc network, partnering closely with senior leaders across Product, Engineering, Compliance, and Policy. - Navigate complex global regulatory landscapes. - Anticipate and manage legal risks related to blockchain technologies, smart contracts, and digital asset frameworks. - Help ensure Arc aligns with Circle’s vision and commitment to responsible innovation. Qualifications - J.D. degree with strong academic credentials and active membership in good standing with a U.S. state bar. - 10+ years of relevant legal experience, including at a top law firm or in-house at a technology or financial services company. - Expertise in U.S. financial regulations, including securities, commodities, banking, or payments law. - Experience advising on legal risk and compliance considerations for blockchain or digital asset products. - Familiarity with legal issues related to smart contracts, token design, or distributed governance models. - Demonstrated ability to navigate complex legal frameworks in fast-paced, high-growth environments. - Deep knowledge of the Bank Secrecy Act (BSA) and related anti-money laundering (AML) and sanctions obligations applicable to digital assets and financial technology companies. - Experience advising on U.S. and global money transmission laws, including licensing considerations and operational implications. Requirements - Ability to translate legal guidance into practical recommendations for product and engineering teams. - Strong collaboration and communication skills, including experience partnering with cross-functional teams. - Exposure to policy, regulatory engagement, or open-source legal frameworks in Web3 or fintech contexts. • Dedication to being part of a high-performing team, providing exceptional legal services, and helping Archimedes continue to grow and develop. • Provide analysis and counsel to Archimedes on legal issues related to contracts, statutes and regulations, products, employment law, intellectual property, financial offerings, financial structuring, real estate transactions, and strategic planning. • Work collaboratively with Lumicera and Navitus teams to ensure compliance with relevant law, ethical business practices, and Navitus’ mission and values. • Ensure the effectiveness and efficiency of the Archimedes Legal Team in meeting organizational needs. • Draft, review, and negotiate contracts on behalf of Archimedes; maintain and proactively update contract templates in compliance with changing business needs and legal requirements; write and administer complex vendor, client, and employment contracts. • Manage processes related to licensing and regulatory requirements for Archimedes. • Inform the development of new Archimedes initiatives from a legal perspective and provide guidance on legal issues that help shape the organization’s direction and impact as a whole related to contracts and IT systems. • Update, review and approve policies and procedures related to Archimedes legal needs. • Research and analyze statutes, judicial decisions, legal articles, contracts, and legal codes as needed. • Maintain a working knowledge of applicable state, federal, and local laws and regulations and relevant policies and procedures to ensure actions are consistent with Archimedes’ mission and values as well as organizational and professional ethical requirements. • Other duties as assigned.
