Deputy General Counsel

• Own and lead the global legal function, including team management, outside counsel oversight, and budget responsibility • Build and scale a high-performing, data-driven legal organization with appropriate processes, operational workflows, tools, and KPIs • Serve as a trusted advisor to the CEO, executive leadership, and Board of Directors on legal, risk, and governance matters • Operate as a player-coach, balancing strategic leadership with hands-on execution • Lead legal support for a high-volume, sales-driven contracting environment, partnering closely with CRO/CGO and Sales leadership • Oversee drafting, negotiation, and execution of complex commercial agreements (clients, partners, vendors) • Design and implement scalable contracting frameworks, playbooks, and approval workflows to accelerate deal velocity • Ensure alignment between legal risk tolerance and revenue objectives • Provide strategic guidance on global employment matters, including disputes, investigations, and compliance • Manage litigation and disputes, including oversight of outside counsel • Partner closely with HR and leadership on employee relations and workforce strategy • Oversee enterprise risk management, insurance programs, and mitigation strategies • Serve as lead in-house counsel on M&A transactions, including buy- and sell-side deals • Drive legal aspects of due diligence, deal structure, negotiation, and integration • Support corporate governance and Board engagement, including preparation and presentation of materials • Ensure compliance with global regulatory requirements, including data privacy and cybersecurity • Develop policies and controls appropriate for a PE-backed, scaling organization • Act as a board-ready advisor, translating complex legal issues into actionable business guidance • Act as a key partner to Finance, Sales, HR, and executive leadership • Drive alignment between legal, operational, and commercial priorities • Support enterprise-wide initiatives, including international expansion, operational refinement and integration efforts.

Job Requirements

  • 15+ years of legal experience, including a mix of law firm and in-house roles
  • 3–5+ years in a senior in-house leadership role (GC, Deputy GC, or SVP Legal), preferably in PE- or late-stage VC-backed companies
  • Demonstrated full ownership of a legal function, including team leadership and operational buildout
  • Extensive experience in high-volume commercial contracting within a sales-driven organization (ideally tech-enabled services, software, or SaaS)
  • Strong experience in employment law, disputes, and litigation management, including oversight of outside counsel
  • Proven ability to build scalable legal infrastructure in low-process or high-growth environments
  • Experience advising senior executives and presenting to Boards of Directors
  • Track record as a cross-functional operator, partnering effectively with Sales, Finance, HR, and executive teams.

Role Description Fetch’s commercial legal team closes hundreds of revenue-generating agreements every quarter across CPG, retail, restaurant, and agencies. As Senior Commercial Counsel, you will take direct ownership of that deal flow, working independently on the full range of Fetch’s commercial and vendor agreements from first draft to signature. You will report to the Deputy General Counsel, Commercial and work closely with our Sales, Finance, GTM, and leadership teams. This is a full-autonomy role. You will own your deals end-to-end, bring your own commercial judgment and strategic business mindset to the table, and be a true partner to the business. You are the service and business-minded lawyer Sales wants on the call and Finance wants in the room. You will also help shape the standards and practices that define how Fetch approaches commercial legal work, actively integrate AI into your daily workflow, and continuously identify ways to make the function faster, smarter, and more business-friendly. If you have spent years doing serious commercial contracts work at a fast-moving tech company, believe that one of the most valuable things a lawyer can do is enable the business with strategic velocity, and want to do that work at scale, with real ownership, and the space to help build something: this role is built for you. Role Responsibilities - Contract Negotiation and Drafting: - Own the negotiation and execution of Fetch’s commercial revenue agreements, including MSAs, SOWs, engagement agreements, pilot agreements, amendments, MNDAs, offer forms, media order forms, and vendor agreements. - Work on both Fetch paper and counterparty paper, bringing your own commercial judgment to deal terms and risk trade-offs and working within Fetch’s guidelines and risk posture. - Draft novel agreement structures to fit new business models and deal types as they arise. - Review and redline inbound counterparty agreements with a business-forward lens; escalate material risk issues with the judgment to know what needs senior input and what doesn’t. - Help develop and refine Fetch’s standard form agreements and commercial legal positions over time. - Deal Velocity: - Maintain deal flow consistent with Fetch’s SLAs, prioritizing by revenue impact and urgency. - Ensure all agreements move through the signing process in compliance with Fetch’s signing authority policy and internal approval requirements. - Business Partnering: - Serve as a trusted day-to-day legal resource for Sales and Finance, giving clear, practical guidance that enables deals rather than complicating them. - Translate legal complexity into plain language and build relationships with internal stakeholders that make them want to come to legal early. - Participate in Sales and Finance team forums to stay connected to business priorities. - AI and Process Innovation: - Build your own AI workflows using Fetch’s existing LLM toolkit and utilize those tools as an active, daily part of how you work. - Continuously identify and propose opportunities to make the commercial legal function faster, more scalable, and more business-friendly. - Support improvements to Ironclad workflows, contract records, and lifecycle management from intake through archiving. Qualifications - J.D. from an accredited law school and active bar membership in good standing in at least one U.S. jurisdiction. - 7+ years of commercial contracts experience with substantial time spent in-house at a tech company. - Experience building workflows in Ironclad. - Deep familiarity with CPG, retail, restaurant, or agency verticals: deal structures, data considerations, and commercial norms across brand, advertiser, and partner relationships.
