We are a young and fast-growing company, dedicated to our craft and focused on providing customized solutions, exceptional customer service, and high quality products to our clients.  Description The In-House Legal Counsel is responsible for providing legal counsel and support to SRG's project teams and senior leadership, with a focus on corporate documents within the financial services industry. This role supports client engagements and enhances the firm’s deliverables. The position supports the legal aspects of SRG’s activities and provides legal support in structuring transactions and mitigating risk across client engagements. The In-House Legal Counsel position will provide legal support on transaction execution, with direct exposure to mergers and acquisitions, succession planning, and deal structuring. This position offers an opportunity for growth within the legal function over time. The ideal candidate brings experience in securities and corporate law, with exposure to mergers and acquisitions, employment matters, corporate formation, equity sharing, and broader strategic advisory initiatives. This individual must be highly collaborative, communicative, and capable of translating complex legal concepts into practical, high-quality, business-oriented solutions. Key Responsibilities - Contracts: - - Draft and/or review contracts with a focus on corporate and securities-related agreements, including but not limited to, governance documents, contingency agreements, employment agreements, purchase agreements, and other corporate and securities-related agreements. - Customize legal language, as necessary, to address client-specific needs, risk considerations, and transaction structures. - Ensure contracts comply with applicable laws, regulatory requirements, and SRG standards. - Transaction & Project Team Support (Client Experience): - - Partner closely with project teams to support client engagements. - Assist in developing tailored, legally sound solutions that enhance the quality and sophistication of SRG’s deliverables. - Support other engagements where additional legal consideration is necessary. - Leadership & Legal Team Oversight: - - Oversee day-to-day legal workflows and provide guidance to a paralegal, ensuring accuracy, efficiency, and quality of work. - Collaborate cross-functionally to strengthen alignment between legal, project teams, and overall service delivery. - Legal Compliance: - - Ensure SRG’s activities and deliverables comply with applicable securities laws, regulations, and industry standards. - Stay current on developments in securities and corporate law and provide proactive guidance to leadership and project teams. - Support the development, implementation, and maintenance of internal compliance frameworks and best practices. - Provide guidance on securities transactions, disclosures, reporting requirements, and regulatory considerations. - Support relationships with regulatory bodies and respond to regulatory inquiries, as needed. - Risk & Litigation Management: - - Identify, assess, and mitigate legal risks associated with SRG’s business activities and client engagements. - Advise project teams on legal considerations related to transaction structures and client recommendations. - Develop risk mitigation strategies that balance legal protection with business objectives. - Coordinate with external counsel and develop strategies to minimize legal exposure and business disruption. - Corporate Governance: - - Oversee corporate governance practices, policies, and documentation. - Advise on entity structure, equity arrangements, and governance best practices for both SRG and client engagements. - Training, Education & Ethical Standards: - - Develop and deliver training on legal, regulatory, and compliance matters. - Promote and enforce ethical standards across the organization. - Provide guidance on ethical considerations in business decisions and client engagements. - Speaking & Thought Leadership:  - - Represent SRG at industry events, trade shows, and partner engagements. - Present at internal and external webinars, contributing to SRG’s thought leadership and market presence. Qualifications - Juris Doctor (JD) degree and active bar membership in the United States. - Extensive experience (typically 6+ years) in corporate or transactional law, with exposure to financial services or securities-related matters. - Strong background in corporate law, M&A, succession planning, employment law, equity sharing, and business formation strategies. - Experience overseeing legal workflows or supporting junior staff, including cross-functional collaboration. - Strong analytical, communication, and leadership skills. Role Description Constructor is looking for a business-minded attorney with deep experience in European data protection law and technology transactions to join our legal team as Commercial and Privacy Counsel. You'll be the second member of Constructor's Legal team, working alongside the Head of Legal and collaborating daily with various teams to support Constructor's growing EMEA customer base. The ideal candidate is a pragmatic, business-oriented lawyer who can move fast, manage competing priorities, and translate complex regulatory requirements into clear, actionable guidance. You'll own the legal support for Constructor's EMEA customer relationships, help drive regulatory compliance across our platform, and stay ahead of evolving regulatory frameworks as they take effect. In this role, you will report to the Head of Legal. Qualifications - Excellent written and verbal communication skills in English. - Proficiency in at least one additional European language. - Law degree from an accredited institution in the EU, US or UK. - Qualified to practice law in at least one EU member state, US or UK.
