• Develop, implement, and continuously improve corporate policies, procedures, and internal controls to ensure compliance with federal government contracting regulations (FAR/DFARS and agency supplements) and commercial contracting requirements. • Conduct risk assessments and compliance reviews; lead audit activities and monitor corrective actions to strengthen the contracts compliance program. • Collaborate cross-functionally to ensure unified compliance practices across the organization that align with business objectives and regulatory expectations. • Oversee internal and external audit responses and compliance reporting for the Contracts function. • Design and implement company-wide training programs on contract compliance, regulatory requirements, and effective contract negotiation practices. • Ensure appropriate tools, systems, and technologies are in place to support compliance tracking, reporting, and training. • Partner with IT and operational leads to drive system automation, improve data visibility, and enhance compliance reporting capabilities. • Establish and maintain enterprise governance frameworks to ensure consistent application of contract compliance policies, procedures, and internal controls across the organization. • Lead and mentor a cross-functional compliance and operations team. • Monitor emerging regulatory and industry trends and translate them into actionable business guidance. • Support due diligence and integration activities for acquisitions from a contracts compliance perspective.

• Own the progression from state level readiness into trust-level supervision in the United States. • Serve as the primary point of contact for regulators, auditors, and examiners. • Strengthen governance, escalation, and control frameworks to meet higher tiers of oversight. • Lead the design and implementation of Dakota’s European compliance architecture under EMI and MiCA CASP requirements. • Align U.S. and European programs into a cohesive, scalable framework. • Navigate evolving regulatory expectations across jurisdictions while maintaining operational clarity. • Oversee Dakota’s BSA/AML, sanctions, and transaction monitoring programs. • Expand the compliance program as regulatory scope increases. • Establish a clear and defensible risk posture that balances onboarding rigor, monitoring depth, and scalability. • Continue embedding compliance controls directly into Dakota’s infrastructure. • Leverage and evolve existing tooling investments (Sumsub, Unit21, TRM Labs). • Evaluate where automation and AI can responsibly increase leverage without compromising rigor. • Lead and develop a high performing compliance team. • Build operating rhythms, documentation discipline, and board ready reporting aligned with institutional standards. • Advise the executive team on regulatory developments, stablecoin legislation, and licensing pathways.

• Reviews orders on AE hold, collects and documents relevant data from the orders • Sends the information to the appropriate trade personnel for timely review • Releases approved orders from AE and EX hold • Collaborates with various business partners to verify the accuracy of sales order items, billing and shipping addresses, freight forwarder contact information, and end destinations • Performs regular compliance screening functions related to product end-uses, denied parties, and export license requirements using regulatory best practices • Assists with various administrative functions, including records retention, government filings, and reports related to EEIs and controlled products • Reviews export orders, notes issues, and escalates problems; follows-up on resolutions • Maintains export compliance records • Researches and screens customers for adhering to U.S. Export regulations • Ensures the accuracy and compliance of various company-wide production processes related to export compliance • Reviews export documentation and correctness of commodity classifications, ECCN and country codes • Assists with export returns requests • Resolves export clearance issues with various third parties • Maintains up-to-date knowledge of regulations related to the Department of Commerce and other U.S. regulatory agencies through training provided by the government and export professionals
