Role Description We are seeking a skilled experienced attorney to join our legal team to provide assistance and support for a wide range of duties, including but not limited to: - Supporting the Company with mergers and acquisitions, transactions, general contracting support for vendors, or other corporate agreements. - Working closely with the General Counsel and senior leaders of the Company to provide comprehensive legal guidance and support for corporate transactions. - Ensuring that all contracts comply with relevant laws and regulations while aligning with the Company’s policies and strategic goals. Position Responsibilities - Contract drafting and negotiation: Draft and negotiate a variety of legal documents for day-to-day operations and in relation to any Company transaction. - Due diligence: Conduct legal diligence for any target company to identify potential legal risks, liabilities, and other issues that could impact the deal. - Deal structuring and advice: Provide strategic advice to the General Counsel and the Company on the most beneficial structure for a transaction. - Regulatory compliance: Ensure all transactions comply with relevant laws and regulations. - Transaction management: Manage the end-to-end legal aspects of a transaction, serving as the central point of contact for all parties involved. Key Tasks and Skills - Post-merger integration: Assist in the legal and operational integration of the two companies after the deal is complete. - Risk assessment: Advise clients on legal risks and suggest mitigation strategies. - Collaboration: Work with a team of professionals, including finance team, corporate development team, accountants, tax advisors, bankers, and other lawyers. - Communication: Effectively communicate with various stakeholders within the Company and provide appropriate solutions to business teams. - Strategic thinking: Develop and implement legal strategies that align with the Company's overall business objectives. - Negotiation: Use strong negotiation skills to navigate complex deals and resolve disputes. - Attention to Detail: Meticulous attention to detail in drafting and reviewing legal documents. - Collaboration: Ability to work effectively within the Legal Department and among diverse teams and stakeholders. Job Requirements
- Juris Doctor (J.D.) from an accredited law school
- Active bar membership in the relevant jurisdiction
