Role Description Libra is looking for a Corporate Counsel (the “Position”) who will be an integral member of the Libra legal team. The Position will be responsible for supporting the legal needs of the Transportation and Shipping Segment (“T&S Segment”) within Libra, currently comprising of four unique businesses covering a broad range of jurisdictions, but primarily North America, on a variety of commercial matters across the T&S Segment. In the Position, you will work closely with members of the senior management team within the T&S Segment. The successful candidate will report to the head of legal at Libra. The office location is in Toronto (near Spadina and Adelaide), and the Position would be required to be in the office at least 2-3 days per week, though this may be reduced over time. Duties and Responsibilities - Provide a full suite of legal advisory services to the T&S Segment, including the review and negotiations of a broad range of commercial contracts on behalf of various internal lines of business, such as technology and intellectual property licensing, SaaS, hosting, cloud, professional services, support services and service level agreements, consulting services, leases, purchasing, distribution, reseller, revenue share among others. - Facilitate legal entity management and corporate governance related issues and work closely with other regional legal experts who provide legal entity support. - Develop, draft and implement appropriate corporate compliance policies and processes. - Work with business lines to develop and maintain standard form agreements for products and services offered by the company in support of pivotal initiatives and in the ordinary course. - Assist where needed on other legal matters from time to time. Qualifications - Qualified legal professional with 4 to 5 years of relevant legal work experience. - Admission to practice law in Canada or the U.S. - Knowledge and experience in drafting, negotiating, structuring and advising on various types of commercial contracts and other transactions relating to software licensing and related services. - Good overall understanding of intellectual property law and other technology-related legal principles is an asset. - Outstanding critical thinking skills, integrity and written and verbal communication, negotiation and drafting skills. - Excellent analytical and problem-solving skills and attention to detail. - Team oriented and able to establish relationships with all levels of the organization. - Ability to work independently. The Director will work closely with executive leadership, business unit IT leaders, and M&A teams to define and execute IT strategy, enforce governance frameworks, and support organic and acquisitive growth.
