Role Summary Renew Home is seeking a Legal Counsel to join our growing legal team! We're looking for a dynamic and business-minded lawyer with commercial and product counseling experience to provide sound, practical and actionable legal advice in support of our mission. What You Will Do - Serve as counsel in preparing, reviewing, negotiating and advising on a wide range of commercial agreements, with a focus on SaaS, services, and procurement agreements. - Support commercial contracts, partnerships including with regulated electric utilities, and transactions that support consumer energy solutions. - Advise cross-functional teams on legal, regulatory, and compliance aspects of product development, launch, licensing, distribution, and marketing. - Provide guidance on intellectual property, data privacy, open source, and technology licensing issues. - Identify potential legal and business risks in contracts and develop approaches to mitigate them. - Support corporate housekeeping and manage outside counsel. - Work dynamically across the traditional in-house portfolio with minimal supervision. - Provide legal review and business-focused legal advice across all departments and functions. - Address broader strategic issues and matters of first impression. Reporting & Collaboration - Act as a key member of the company’s legal team and report to CLO. - Work closely with department leaders to achieve business objectives, mitigate risks and ensure legal and regulatory compliance. - Support commercial, transactional, and compliance. Location & Travel - Remote position. - Some domestic travel required.

Job Requirements

  • JD and Bar Admission: JD from an accredited law school and admitted to practice law in good standing.
  • Experience: 5+ years of legal practice, including in-house experience.

What you’ll do - Lead and manage Sprout Social’s public company securities compliance and corporate governance functions, including preparation and review of SEC filings (Forms 10-K, 10-Q, 8-K, Proxy Statements, registration statements, and Section 16 filings). - Serve as a key partner to the General Counsel and executive leadership in managing the corporate governance lifecycle.
