Junior Legal Counsel

Centrifuge

• Draft, review, and negotiate legal documentation for real-world asset (RWA) transactions, including commercial contracts and NDAs; • Support the legal onboarding of new investors and issuers ensuring compliance with applicable financial regulations in the relevant jurisdictions; • Research regulatory requirements relevant to funds and tokenized assets, monitoring evolving legal frameworks across key markets (US, EU, and offshore jurisdictions); • Assist in developing and maintaining template legal documentation and internal legal resources to support scalable operations; • Provide legal input on product development and fund operations, ensuring new features and partnerships are structured in a legally sound manner

Job Requirements

  • Qualified lawyer (common law or EU jurisdiction preferred) with 2-3 years of experience in financial transactions, structured finance, capital markets, or a related practice area at a law firm or in-house or governmental authority;
  • Solid grounding in financial instruments, credit structures or investment funds;
  • Curious about and ideally with some exposure to tokenized securities or blockchain generally;
  • Comfortable working across jurisdictions and able to navigate multi-party transactions with diverse legal frameworks;
  • Strong drafter and communicator; you can translate complex legal concepts into plain language for non-lawyers across a remote, international team;
  • Self-directed and organized with the ability to work quickly and diligently on multiple workstreams simultaneously in a fast-paced, self-managed environment.

Role Description Ilant Health is seeking an experienced Associate General Counsel to support our growing legal and compliance needs as we scale partnerships with self-funded employers, Taft-Hartley plans, and fully-insured health plans (commercial and government). This role will serve as a key business partner across contracting, privacy, and corporate matters, with a strong focus on healthcare commercial agreements, HIPAA compliance, and external counsel oversight. The Associate General Counsel will be our first legal hire and report to the CEO. They will work closely with leadership across Finance, Sales, Operations, and Clinical. Key Responsibilities: - Healthcare Contracting & Commercial Transactions - Lead drafting, review, and negotiation of a wide range of healthcare agreements, including: - Business Associate Agreements (BAAs) - Contracts with self-funded ERISA employers - Agreements with fully-insured health plans and payers - Vendor, pharmacy, lab, and clinical services agreements - Support contract structures for value-based and risk-aligned arrangements. - Partner with Sales and Implementation teams to ensure contract execution aligns with operational delivery. - Privacy & Regulatory Support - Advise on HIPAA compliance and healthcare privacy obligations, including PHI data flows, and product and subcontractor requirements. - Collaborate with compliance and clinical leadership on evolving federal and state healthcare regulatory matters impacting virtual care delivery. - Corporate, Employment, and General Legal Oversight - Manage and coordinate outside counsel across corporate governance, financings, employment matters, and other specialized legal needs. - Support employment-related legal review including offer letters, policies, contractor relationships, and HR escalations. - Assist with board materials, corporate records, and strategic legal initiatives as the company grows. - Cross-Functional Business Partnership - Provide practical, business-oriented legal advice to internal stakeholders. - Help establish scalable legal processes, contract templates, playbooks, and negotiation frameworks.
