Role Description Ilant Health is seeking an experienced Associate General Counsel to support our growing legal and compliance needs as we scale partnerships with self-funded employers, Taft-Hartley plans, and fully-insured health plans (commercial and government). This role will serve as a key business partner across contracting, privacy, and corporate matters, with a strong focus on healthcare commercial agreements, HIPAA compliance, and external counsel oversight. The Associate General Counsel will be our first legal hire and report to the CEO. They will work closely with leadership across Finance, Sales, Operations, and Clinical. Key Responsibilities: - Healthcare Contracting & Commercial Transactions - Lead drafting, review, and negotiation of a wide range of healthcare agreements, including: - Business Associate Agreements (BAAs) - Contracts with self-funded ERISA employers - Agreements with fully-insured health plans and payers - Vendor, pharmacy, lab, and clinical services agreements - Support contract structures for value-based and risk-aligned arrangements. - Partner with Sales and Implementation teams to ensure contract execution aligns with operational delivery. - Privacy & Regulatory Support - Advise on HIPAA compliance and healthcare privacy obligations, including PHI data flows, and product and subcontractor requirements. - Collaborate with compliance and clinical leadership on evolving federal and state healthcare regulatory matters impacting virtual care delivery. - Corporate, Employment, and General Legal Oversight - Manage and coordinate outside counsel across corporate governance, financings, employment matters, and other specialized legal needs. - Support employment-related legal review including offer letters, policies, contractor relationships, and HR escalations. - Assist with board materials, corporate records, and strategic legal initiatives as the company grows. - Cross-Functional Business Partnership - Provide practical, business-oriented legal advice to internal stakeholders. - Help establish scalable legal processes, contract templates, playbooks, and negotiation frameworks. Qualifications - JD from an accredited law school and active license to practice in at least one U.S. jurisdiction. - 5–10+ years of relevant legal experience in a law firm and/or high-growth healthcare company. - Significant experience negotiating: - BAAs and HIPAA-related agreements - Employer (ERISA) and payer contracting arrangements - Healthcare services and vendor agreements - Strong working knowledge of healthcare regulatory frameworks, including HIPAA privacy and security. This is a high-detail, internally focused role built for an ex-consultant or data-driven builder who is rigorous about accuracy, comfortable building models, and energized by ambiguity. You won’t carry a quota; you will make the people who do dramatically more effective. You will also help us figure out where AI can make this work faster and better — and then build those workflows. Key Responsibilities - RFP / RFI Ownership - Own the end-to-end RFP/RFI response process — intake, project plan, drafting, cross-functional input, and on-time, accurate submission. - Build and maintain the RFP content library, keeping answers current, version-controlled, and consistent with approved clinical, regulatory, and security positions. - Coordinate input from Clinical, Legal, Product, Security, and Finance, resolving conflicting or stale answers before they reach a buyer. - Financial Modeling & Deal Economics - Build and maintain customized financial models, ROI analyses, and pricing scenarios for prospective employer, payer, and broker clients. - Run utilization-based sensitivity and breakeven analyses using client-specific inputs (population size, demographics, utilization assumptions). - Support proposal economics and ensure financial assumptions used in deals stay aligned with internal financial planning. - Buyer-Facing Insight & Analytics - Partner with the Data team to translate Ilant’s outcomes and analytics into compelling, defensible evidence that advances deals — ROI proof points, population insights, and outcome narratives tailored to employer, payer, and broker audiences. - Communicate outcome and ROI claims so they withstand scrutiny from sophisticated buyers and their actuarial and analytics advisors. - Maintain CRM hygiene and pipeline reporting — keeping rep-level data quality, pipeline accuracy, and stage progression current (note: this role does not own quota or sales-team target-setting). - Sales Collateral & Strategic Content - Partner with Marketing to design and maintain pitch decks, ROI summaries, one-pagers, customer-facing FAQs, and internal execution playbooks, on-brand and audience-specific. - Simplify technically dense contracting, clinical, and benefit-design concepts into materials non-technical sales staff can confidently use. - Competitive & Market Intelligence - Track competitors, market shifts, and buyer dynamics across employer, payer, and broker channels; maintain battlecards and positioning guidance. - Translate complex market and competitive data into clear, actionable guidance the sales team can use in live deals. - AI & Process Improvement - Identify and prototype AI-enabled workflows to make RFP response, collateral production, and competitive research faster and higher quality. - Bring a continuous-improvement mindset to the commercial “machinery,” proposing and implementing better ways of working. You will manage the day-to-day clinical workflow around obesity medication refills, serve as a knowledgeable first point of contact for member clinical questions, and help ensure continuity of care across a high-volume patient population. This role will directly manage and develop a growing team of 20+ Registered Dietitians delivering evidence-based nutrition care across obesity medicine, behavior change, GLP-1 support, and bariatric pathways. The Director will work closely with medical, behavioral health, operations, and product leadership to ensure nutrition care is clinically rigorous, operationally scalable, and deeply integrated into the member experience. This is both a clinical leadership and systems-building role. Role Description Ilant Health is looking for a Peer Navigator to guide prospective bariatric surgery and obesity medicine patients through the process, answer questions, educate them with facts, and share your own experience navigating the process.
